Andrew Pritchard practises corporate and commercial law with an emphasis on real estate, and land use and development in energy-related projects. 

Mr. Pritchard has extensive experience in business acquisitions, dispositions, financings and project development including the structuring of ownership, management and private-public partnerships. He represents financial institutions and borrowers in connection with secured transactions and commercial lending matters, the enforcement of commercial security, and realty specialty sales on behalf of court-appointed receivers, receiver-managers and trustees in bankruptcy.

Mr. Pritchard is Ottawa Chair of our business law group.

    Clients for whom Mr. Pritchard has acted as counsel include:

    • JPMorgan Chase Bank, N.A., as administrative agent and collateral agent, in the US$1.45 billion senior secured credit facility providing term and revolving facilities in favour of Cedar Fair L.P., Magnum Management Corporation and Canada's Wonderland Company
    • Greenfield Energy Centre LP in connection with the development and ultimate financing of a 1005 megawatt generating facility in southwestern Ontario, including negotiation and acquisition of necessary land interests for the generating facility, related servicing and transmission lines
    • A Canadian developer of a 132 megawatt gas-fired electric power plant facility in the Republic of Ghana backed by the Canadian Commercial Corporation
    • AIM PowerGen Corporation (now International Power Canada, Inc.) in connection with the development of various wind farm projects, including the acquisition of land use rights to support the development, installation and operation of wind farms; the negotiation of joint use rights with Hydro One Networks Inc.; and project financing associated with those projects
    • A major industrial manufacturer in the greater Toronto area as host in connection with the negotiation of land use and related rights to support a proposed cogeneration facility to be developed on manufacturer's lands, in response to OPA RFP Combined Heat and Power (CHP II Contract)
    • Various project developers in connection with negotiation and settlement of land use rights to support submissions of proposals to OPA in response to RFPs and FIT program
    • A project developer and system aggregator for rooftop photovoltaic energy capture and generation systems (Ontario FIT program)
    • The Corporation of the Town of Essex in connection with the acquisition of shares of a local distribution company
    • A local distribution company in connection with land acquisition and development rights for substation and related purposes
