Global law firm Norton Rose Fulbright has advised Tages Helios (Tages), a real estate investment fund managed by Tages Capital SGR, in relation to the due diligence on an initial portfolio of solar plants in Italy having an aggregate capacity of around 100 MW and its financing of up to €452.5m.
The HoldCo structured financing has been provided by a pool of banks, including: Banca IMI S.p.A., Banco BPM S.p.A., Banco Santander S.A., Bayerische Landesbank Anstalt des öffentlichen Rechts, BNP Paribas, MedioCredito Italiano S.p.A., MPS Capital Services Banca per le Imprese S.p.A., Société Générale S.A., Unione di Banche Italiane S.p.A., UniCredit S.p.A. and Intesa Sanpaolo S.p.A.
This is the third financing for Tages based on a hybrid structure for real estate infrastructure funds. The first two financings were completed in December 2016 (relating to the portfolio acquired from 9REN) and in July 2017 (relating to the portfolio acquired from Sunreserve); the firm advised Tages on both of these acquisitions and financings.
The Norton Rose Fulbright team which performed the due diligence on which the banks relied for the purpose of the financings included partner Arturo Sferruzza, Of Counsel Luigi Costa, senior associate Ginevra Biadico and trainees Lisa Rancitelli and Luigi Mazzola.
