International legal practice Norton Rose LLP has advised RTP Deutschland GmbH, a subsidiary of the American RTP Company, on the acquisition of Clariant’s conductive compounds business (Switzerland). The transaction involved RTP taking over a production facility from Clariant as well as technologies, products and clients associated with that facility.
Norton Rose provided also advice regarding tax and real estate law during the course of the transaction. The real estate law advice concerned the extension of the current rental agreement for the ca. 4,500 square metre production facility with Werner Gutperle/Harder/Pfenning GbR.
RTP manufactures industrial plastics via a process in which molten polymers are mixed with other additives. The enterprise maintains a total of eleven production facilities in the United States, Asia and Europe and supplies clients worldwide with tailored plastics compounds. RTP’s headquarter is in Winona, Minnesota/USA.
Clariant, located near Basel in Muttenz, is a world leading enterprise for specialty chemicals. The enterprise has a presence on five continents with more than 100 companies and a total of more than 22,000 employees.
