Marwan Azzi's practice focuses on domestic and cross border corporate transactions with emphasis in emerging markets. His experience includes representing US and international corporate clients and investment funds in mergers and acquisitions, private equity investments, joint ventures, strategic alliances and financing transactions. We are active in energy-related matters around the world and Mr. Azzi has extensive experience in transactions in this industry.

  • Representative experience

     

    • Represented I Squared Capital Advisors, LLC in their US$1.2 billion acquisition of a portfolio of hydroelectric and natural gas generation plants, transmission infrastructure and natural gas processing facilities, totaling 2,300 MW in Peru, Chile, Ecuador, Guatemala, El Salvador and Argentina from Duke Energy Corporation.
    • Represented Conduit Capital Partners in the sale by Latin Power III, a private equity fund managed by Conduit, to InterEnergy Holdings of a 55% ownership in Pedregal, a 55 MW diesel plant based in Pacora, Panama and a 100% interest in Jamaica Energy Partners and West Kingston Power Partners, which collectively operate three plants with 190 MW of diesel capacity in Jamaica.
    • Represented the lenders in a US$216 million construction loan and letter of credit facility for the 151 MW Grant Wind Project in Oklahoma. A subsidiary of Southern Power Company has agreed to acquire the Grant Wind Project at completion.
    • Represented a European fund in its equity investment in a production business headquartered in the US with operations in Northern Europe.   
    • Represented GE Energy Financial Services in its acquisition of 49% of EGPNA Renewable Energy Partners LLC from Enel Green Power SpA. The partnership has assets in North America with 760 MW of generating capacity.
    • Represented a group of lenders led by Bayerische Landesbank, New York Branch and Rabobank, New York Branch in connection with a US$397 million construction loan for the 299 MW Kay Wind Project being developed by Apex Clean Energy in Oklahoma. A subsidiary of Southern Power Company has agreed to acquire the Kay Wind Project at completion.
    • Represented a Polish manufacturer of solar modules in a proposed acquisition of assets of an R&D company headquartered in Austin, Texas. 
    • Represented a Canadian solar developer in the sale of a solar project in Jordan to a regional infrastructure fund.
    • Represented Swicorp Company, an international private equity and asset management firm focused on the Middle East, Africa and Turkey, in the acquisition by its affiliate Sadeed Investment Limited (LLC) of a 30% equity stake in Saudi steel manufacturer BRC Industrial (Saudia) Limited.
    • Represented a consortium, that included KKR, GDF Suez and Besix, in connection with their proposed purchase from Mubadala of a company providing district cooling services in Abu Dhabi.
    • Represented Abdul Latif Jameel Energy (ALJ Energy) in structuring and establishing a joint venture with Fotowatio Renewable Ventures (FRV) to develop photovoltaic solar energy projects in Saudi Arabia.
    • Represented IFC in its equity investment and loan to a UAE-based multi-regional power equipment rentals and emergency power solutions provider.
    • Represented Çalik Holdings A.S., a leading Turkish conglomerate, in the potential sale of its television media business to a leading global media company.
    • Represented Standard Bank, financial advisor to the government of the Democratic Republic of Congo, in connection with the privatization and sale of the government's ownership interest in the Cimenterie Nationale SARL. 
    • Represented a Middle Eastern utility company in its bid to acquire a portfolio of power assets in the US. 
    • Represented ACWA Power International in the acquisition of Jordan Dubai Capital’s interest and Malakoff’s interest in the largest power generation company in Jordan in two separate transactions.
    • Represented ACWA Power International in negotiating with IFC and finalizing documentation with respect to IFC’s equity investment alongside ACWA Power in the acquisition of the largest power generation company in Jordan.
    • Represented a private equity infrastructure fund in its bid to acquire a stake in Jordan’s Amman East power plant from IDB Infrastructure Fund. 
    • Represented ACWA Power International in the acquisition of The AES Corporation and IDB Infrastructure Fund’s interest in the Barka Power & Desalination Project (Phase I). 
    • Represented Emerging Capital Partners MENA Growth Fund LLC, a private equity fund based in Washington, D.C., in a potential investment in Egypt. 
    • Represented an international bank in the potential sale of assets of its branch in a Gulf country. 
    • Represented a private equity fund in a potential real estate investment in Algeria. 
    • Represented a privately held international pharmaceutical company on its purchase of a medical device company that specializes in the field of asthma and drug delivery to the lung.
    • Represented Suez-North America in connection with the acquisition of a 500 megawatt power plant in Astoria, New York. 
    • Represented GLG Partners, a leading alternative asset manager with gross assets under management of over $20 billion, in its US$3.4 billion transaction to access public markets through a reverse acquisition with Freedom Acquisition Holdings, Inc. The transaction was honored as "Deal of the Year" by The Hedge Fund Journal in 2008. 
    • Represented the consortium led by GDF Suez in the financing of the Barka 3 and Sohar 2 independent power projects in Oman. The transaction was awarded the "Middle East Power Deal of the Year" by Project Finance International in 2010. 
    • Represented the sponsors GDF Suez and Marubeni in securing a US$3 billion financing for the Shuweihat 2 power generation and water desalination project, in partnership with the Abu Dhabi Water and Electricity Authority (ADWEA). The transaction was awarded the "Gulf Power Deal of the Year" by Project Finance International in 2009.
