For more than 30 years, Partner Johannes K. Gäbel has been providing legal counseling to clients from Germany and other German speaking countries in connection with their assets in the United States. A native German, Johannes represents business entities, banks and individuals in acquisition and disposition transactions, in finance transactions, and counsels his clients in disputes, with regard to corporate compliance and on structural issues.
In the M&A area, Johannes has significant experience in all forms of asset and stock deals, including negotiated and auction deals, LBOs, tender offers, joint ventures, and other acquisition structures. Finance transactions Johannes has handled include secured and unsecured loans, asset backed and asset based financings, private placements, issuance of equity, structured capital, and others. Johannes has advised many of his clients in the resolution of all kind of disputes, whether in court, in an arbitration setting, or otherwise, drawing on his deep knowledge and understanding of US and European legal and cultural structures. Johannes has considerable experience in compliance issues arising out of the securities laws, the Foreign Corrupt Practices Act, the Anti Money Laundering Laws, the US export regulations, and international reporting requirements. Finally, Johannes advises on the corporate and tax aspects of optimizing corporate groups and international corporate structures and the creation, qualification, and sale of pooled investment vehicles.
Johannes practiced law in Germany until he moved to the United States to attend Cornell University School of Law as a Fulbright scholar in 1980. He is admitted to the bar in Germany and New York. He is a frequent author and lecturer on international corporate, finance, and tax issues.
