Biography

Derek Chiasson is a partner in our tax team. His principal focus is on domestic and international tax aspects of mergers and acquisitions, corporate finance and corporate reorganizations, for public and private corporations. He also regularly advises on tax disputes, commodity taxes and executive compensation. 

Derek leverages his broad experience to bridge tax, finance and legal aspects of the transactions and reorganizations he works on, while maintaining strong technical skills, attention to detail and creativity.  He also has industry experience, having served as vice-president, corporate development/strategy and legal affairs of a multi-national US public company in the video game industry listed on the NASDAQ exchange

Derek has acted as counsel to the following clients:

  • Purchaser in connection with its acquisition of JCMO Studios, ULC (d/b/a Ludia) from Jam City, Inc. and its related financing, including equity financing by a consortium comprised of  Investissement Québec, Fonds des travailleurs et travailleuses du Québec, Business Development Bank of Canada, Export Development Canada, W Invesments, current Ludia management and founder, and syndicated debt financing led by National Bank of Canada, and in connection with numerous other matters subsequent to the acquisition.
  • MDA Space Ltd. in connection with its strategic acquisition of Israeli-incorporated SatixFy, a developer of end-to-end next-generation satellite communications systems for an equity value of approximately US$193 million.
  • AtkinsRéalis Group Inc. in connection with virtually all of its acquisitions and divestitures over the last decade and more, including the sale of its remaining interest in 407 International Inc. to a subsidiary of Canada Pension Plan Investment Board and a subsidiary of Ferrovial SE, the sale of its resources oil and gas business to Kentech Corporate Holdings Ltd., the sale of a 10.1% interest in 407 International Inc. to a subsidiary of Canada Pension Plan Investment Board, the planning, formation and launch of SNC-Lavalin Infrastructure Partners LP, the subscription by a Canadian subsidiary of BBGI SICAV S.A. for 80% of the limited partnership interests and the transfer of an initial portfolio of infrastructure projects to the limited partnership, its acquisition of WS Atkins plc and contemporaneous public offering and private placement of subscription receipts, the sale of its 100% equity stake in AltaLink, Alberta's largest regulated electricity transmission company, to Berkshire Hathaway Energy, its sale of SNC-Lavalin Energy Control Systems Inc. to GE Energy Canada, and in connection with numerous other tax planning and tax dispute matters.
  • CAE Inc. in connection with virtually all of its acquisitions and divestitures over the last decade and more, including the sale of its healthcare business to Chicago-based Madison Industries for an enterprise value of C$311 million, and the acquisitions of a majority stake in SIMCOM Aviation Training from Volo Sicuro for US $230 million, Sabre’s AirCentre suite of flight and crew management software for US $392.5 million, Flight Simulation Company B.V. (Netherlands), Merlot Aero Limited (New Zealand), aviation training management solutions and courseware provider Pelesys, Lockheed Martin Commercial Flight Training, and in connection with numerous other tax planning and tax dispute matters.
  • A consortium comprising Placements CMI Inc (Marcel Dutil family), Caisse de dépôt et placement du Québec and the Fonds de solidarité des travailleurs du Québec, in connection with the acquisition of all of Canam Group's Canadian operations, as well as certain assets in the United States and overseas, for an enterprise value totaling more than $840 million.
  • Investissement Québec in connection with (i) the filing by Nemaska Lithium Inc. and its affiliates for protection under the Companies' Creditors Arrangement Act (CCAA), in which our team played a key role in setting up an innovative structure (reverse vesting order) to complete the acquisition of the enterprise, which stands as a precedent for other insolvency transactions carried out elsewhere in Canada, ii) the filing by BlackRock Metals Inc. and its affiliates under the CCAA, and (iii) its investment in the Polycor Group.
  • Stornoway Diamond Corporation, a leading Canadian diamond exploration and development company formerly listed on the Toronto Stock Exchange, in its comprehensive financing transaction with US private equity firm Orion Mine Finance, Investissement Québec, and the Caisse de dépôt et placement du Québec to fund the construction of the Renard Diamond Project, Quebec's first diamond mine. These transactions comprised: an offering of common share subscription receipts, by way of private placement and concurrent prospectus offering in Canada; a forward sale of diamonds by way of a streaming agreement; a senior secured loan facility; a convertible unsecured loan; a cost overrun credit facility; and an equipment financing facility and in connection with its acquisition of the remaining 50% interest of Diaquem Inc., a subsidiary of Investissement Québec, in the Renard diamond project, and the related bought deal financing, and in connection with numerous other matters, including its subsequent restructuring under the CCAA in 2019 and in 2023.
