Biography

Rebecca Clow is a banking and finance lawyer based in Perth.

Rebecca's experience includes project financing, corporate finance, acquisition finance, bonds and note issuances. She has acted for a variety of domestic and international clients including lenders, borrowers, agents, commercial banks, funds and large corporate clients. Rebecca has experience in various jurisdictions including Australia, Europe, Central America and Africa.

  • Northern Territory Airports group - on the successful closing of its A$550 million bank debt refinancing. Work undertaken included negotiations with multiple bilateral lenders from the domestic, Asian, European and North American markets.
  • Perth Airport - on the successful A$950 million syndicated refinancing of its existing bank debt. This included documenting a new set of common security and intercreditor terms for all classes of Perth Airport's creditors (banks and noteholders), and all hedging.
  • Perth Airport - on the successful US$150 million USPP note issuance, including advising on all intercreditor and shared security documentation.
  • African Development Bank - on the US$100m financing of ETC Group, a global agricultural commodities conglomerate, to finance development and construction costs for fertiliser and agricultural commodities projects across Africa.
  • Lendersrefinancing of the ESP Utilities Group, a British gas and electricity distributor, and the establishment of a £339,000,000 common debt platform.
  • Prudential Trustee Company Limited - as bond trustee and BNY Mellon as agent on the issuance of £150 million of bonds by Warrington Borough Council for the development of infrastructure within the borough.
  • PT Tower Bersama Tbk in relation to amendments to its US$2 billion debt programme and issuing further Series under the debt programme.
  • iiNet Limited - in relation to the establishment of the company's first AU$330 million syndicated debt financing and its refinancing.
