Biography

Charles St-Pierre is a corporate and transactional lawyer in our Montreal office. His practice focuses on private mergers and acquisitions, private equity and venture capital investments and joint ventures and other complex commercial arrangements. He represents clients across a range of industries, including insurance and financial services, construction, energy, technology, and aerospace.

Charles advises the full spectrum of businesses, from multinational corporates to dynamic entrepreneurs and emerging high-growth companies, on domestic and international acquisitions and divestitures, private equity investments, early- and later-stage venture capital financings and strategic joint ventures and commercial partnerships. Fully bilingual, he drafts and negotiates in both English and French and regularly leads transactions involving parties and counsel in Quebec, across Canada and internationally, leveraging Norton Rose Fulbright’s global platform to address jurisdiction-specific matters that arise in these transactions.

Charles brings a practical, solutions‑oriented approach and emphasizes clear communication, disciplined project management, and efficient coordination of multidisciplinary teams to deliver commercial outcomes and achieve his clients’ objectives.

Charles is an active member of the Montreal Recruitment and Student Committee and mentors several of the firm’s younger lawyers.

Clients for whom Charles has acted include:

  • Lithion Technologies Inc., a company that has developed an innovative solution for recycling lithium-ion batteries in a sustainable way, in connection with (i) its Series A financing for an amount of up to C$125 million, and (ii) ongoing corporate and commercial matters
  • CAE Inc. with its acquisition of Merlot Aero Limited (New Zealand)
  • Bombardier Inc. with the sale of its CRJ Aircraft Program to Mitsubishi Heavy Industries
  • French television production companies Newen and TF1 in connection with Newen's acquisition of a majority interest in Reel One Entertainment, a Canadian scripted content producer-distributor, and subsequent minority stake acquisition of Reel One by A&E Television Networks
