Our Vancouver office advised Whistler Medical Marijuana Company (“WMMC”) on the acquisition of all the issued and outstanding shares by Aurora Cannabis Inc. (“Aurora”) in an all-share transaction valued at approximately C$175m. The transaction closed March 1, 2019.  
 
WMMC has developed one of Canada's most iconic cannabis brands. The company operates two indoor licensed production facilities, with its first located in Whistler, British Columbia, and the second, an EU GMP-certified facility located in Pemberton, British Columbia that is anticipated to reach full capacity this summer. That will bring the company’s total production capacity to over 5,000 kilograms per year. WMMC sells medical and adult-use cannabis to the domestic Canadian market and also sells medical cannabis derivatives internationally.  
 
The transaction provides Aurora with a premium and differentiated organic certified product suite, expanding both its medical and adult-use offerings, and reinforcing Aurora's presence in the well-established west coast cannabis market.
