Norton Rose Fulbright represented Bombardier Inc. in all aspects of a series of complex cross-border refinancings throughout 2015. In February 2015, Bombardier Inc. completed a cross-conditional refinancing that included (1) a 144A High Yield private placement in the United States and Canada of US$2.25bn aggregate principal amount of Bombardier’s senior notes and (2) complex and technical amendments and extensions of its three principal bank facilities (a US$1.3bn facility in Canada, a €500m revolving facility for Bombardier Transportation (BT) and a €3.64bn letter of credit facility for BT in Europe). Then, in November 2015, Bombardier announced that it entered into a definitive agreement with Caisse de depot et placement du Québec for a CDN$1.5bn investment in BT.
