Toronto and Ottawa advise Parmalat on proposed acquisition of Kraft Canada’s natural cheese division

Our Toronto and Ottawa offices are advising Parmalat on the proposed acquisition of Kraft Heinz Canada ULC’s Canadian natural cheese division for C$1.62bn. If approved, the transaction will include a processing plant located in Ingleside, Ontario, and almost 400 employees.

The transaction will signify a significant investment in Canadian dairy and will provide important benefits to Canada, including the protection of jobs, and support in dairy farm incomes. The proposed transaction represents a strong commitment to Parmalat’s Canadian business, and builds on Parmalat’s current Canadian footprint, which includes nearly 3,000 employees, 16 dairy processing plants and a dedicated research and development facility.

Parmalat produces milk and dairy products, fruit juices, cultured products, cheese products and table spreads with such respected brands as Beatrice, Lactantia, Astro, Black Diamond and Balderson.

The transaction is led by Walied Soliman and Paul Fitzgerald and included Bruce Sheiner, Trevor Zeyl, Joseph Palmieri (corporate, M&A and securities), Eric Reither (commercial), Barry Segal (tax), Kevin Ackhurst, Martin Masse (competition/anti-trust), Chris Hunter (intellectual property), Lisa Cabel, Ryan Freeman (employment and labour), Martin Rochette (pensions and benefits), Janet Bobechko (environmental) and Michael Lieberman (real estate).
