Norton Rose Fulbright advises ABC Company on its acquisition of a stake in TWY

Global law firm Norton Rose Fulbright has advised consulting firm and permanent capital vehicle ABC Company S.p.A. – Società Benefit (ABC Company) on its acquisition of a stake in TWY S.r.l. (TWY).

TWY is a Milan-based company specializing in advanced customer relationship solutions that integrate technology, automation, artificial intelligence, omnichannel capabilities, customer experience, and operational efficiency, serving clients across the finance, insurance, utilities, e-commerce and retail sectors. The company offers integrated platforms that enhance technology, automation, employee experience, and sustainability.

The transaction was executed through BeTwy S.r.l., a special purpose vehicle incorporated for the acquisition of 100 percent of TWY’s share capital. BeTwy is 35 percent owned by ABC Digital S.r.l. (ABC Digital or the Club Deal), promoted and led by ABC Company, and 65 percent by Call2Net S.p.A.

The acquisition was structured as a leveraged buyout (LBO), combining equity and bank financing. The equity portion attributable to ABC Digital amounts to approximately €12 million (including the earn-out), of which around €5 million will ultimately be contributed by ABC Company, with the remainder provided by third-party investors.

The financing was provided exclusively by Crédit Agricole Italia S.p.A., which supported Be Twy in structuring and completing the transaction.

The Norton Rose Fulbright team was co-led by Milan-based partners Claudio Di Falco and Gennaro Mazzuoccolo for the M&A and banking and finance aspects of the transaction respectively, assisted by associates Alessandro Bello, Chiara Conti and Leone Sgaravatti, and trainees Lamberto Baraldi and Laura Garau. The employment law aspects were handled by partner Attilio Pavone, assisted by senior associate Irene Bega and associates Matilde Battistella and Federico Moriconi.
