Norton Rose Fulbright advises US-based Thirdera on acquisition of Service Line Solutions

Global law firm Norton Rose Fulbright has advised US-based Thirdera, LLC (Thirdera) and its lead investor, Sunstone Partners Management, LLC on its acquisition of Melbourne-based Service Line Solutions (SLS). In addition to its Melbourne office, SLS has a presence in Sydney and Bengaluru, India.

Both Thirdera and Service Line Solutions are Elite-level partners of ServiceNow, a cloud-based digital workflow platform. Thirdera enables mid-market and enterprise customers to leverage the full power of ServiceNow through complete, workflow-enabled services. Their approach speeds up customer outcomes, reduces complexity, and brings legacy IT investments a new life as an integral part of end-to-end workflow services. With employees in North America, Latin America, Australia, and India, Thirdera serves both public and private sectors, including financial services, healthcare, telecommunications, manufacturing, and energy. SLS is also an expert in guiding companies in the use and expansion of ServiceNow, having completed over 250 projects in Asia-Pacific, and doubling the size of its business from Spring 2020 to Spring 2021.

The acquisition provides Thirdera with a strong foundation for growth in the Asia-Pacific region, and adds additional high-quality technical capability, development expertise and business process consulting to the Thirdera business.

The Norton Rose Fulbright team worked alongside US-based law firm Choate, Hall & Stewart and India-based law firm J. Sagar Associates to advise Thirdera on all aspects of the transaction across Australia and India, including conducting due diligence, negotiation, drafting and review of transaction documents from the letter of intent stage through to signing and closing announced on 20 May 2021.

The team was led by global head of technology & innovation and partner, Nick Abrahams, and supported by partners Jason Noakes and Greg Reinhardt, special counsels Michael Nightingale and Seema Mishra and senior associate Oliver Kabongo.
