Norton Rose Fulbright advises on takeover of China Shengmu Organic Milk Ltd.

Global law firm Norton Rose Fulbright has advised Huatai Financial Holdings Limited (Huatai Financial) as the financial adviser to the offeror, a company controlled by Inner Mongolia Yili, on its acquisition and mandatory cash offers (the Offers) for China Shengmu Organic Milk (China Shengmu). China Shengmu is listed on the Hong Kong stock exchange.

The maximum consideration under the Offers is estimated at approximately HK$6.11 billion. The Offers will be triggered upon completion of Inner Mongolia Yili’s acquisition of approximately 37 per cent of the issued share capital of China Shengmu at a consideration of HK$5.29 billion.

Inner Mongolia Yili, principally engages in the business of processing and manufacturing dairy products in the PRC and China Shengmu principally engages in the dairy farming business and liquid milk business.
