Norton Rose Fulbright advises Energie 360° on its investment in the BHKW specialist Engine Power Systems Thomsen & Co.

Global law firm Norton Rose Fulbright has advised the Swiss utility Energie 360° AG on the indirect acquisition of project developer and service provider Engine Power Systems Thomsen & Co. GmbH (EPS). With this acquisition, Energie 360° further expands its strategic position in the market for combined heat and power plants (CHP), which is growing worldwide.

EPS is located in Beesten (North Rhine Westphalia), and service provider to EPS Rental, are both active in the CHP sector. The acquisition of the shares became effective July 1 after approval by the German Federal Cartel Office.

Norton Rose Fulbright advised Energie 360° AG on the transaction structuring and the due diligence of both target companies, the negotiation of the acquisition agreements and the subsequent incorporations in the Management Holding company.

The Norton Rose Fulbright team was led by Dr. Klaus Bader. The team further comprised of counsel Sebastian Frech, associates Rima Dressler and Sebastian Eisenhut (all corporate M&A), Frankfurt-based partner Tino Duttiné and of counsel Dr. Frank Bayer (both tax) as well as Brussels-based partner Christian Filippitsch and of counsel Max Seuster (both antitrust law).

Norton Rose Fulbright has also advised Energie 360° on the structuring of the Management Holding BHKW & Energie Holding GmbH in which Energie 360°owns around 72 percent of the shares. The shares in Ravensburg-based Energas BHKW GmbH owned by Energie 360° and the shares of Energas and EPS Rental were incorporated in to the Holding company. EPS and Energas develop and build projects with combined power and heat plants, making use of bio gas and natural gas.
