Tomasz Rogalski is a banking, projects and restructuring lawyer based in Warsaw.

Tomasz is qualified in Poland as legal adviser (radca prawny) since 2009 and insolvency practitioner (doradca restrukturyzacyjny) since 2017.

Tomasz advises on a variety of domestic and cross-border projects and banking and finance transactions and has extensive experience advising on: energy and infrastructure transactions (project finance, PPP, energy M&A and energy regulations); real estate finance; financial restructuring and insolvency workouts and general lending transactions. Tomasz also focuses on financial services and FinTech.

For many years, Tomasz has been recognised by leading international legal directories, including Chambers Europe, Chambers Global, The Legal 500, and IFLR1000 for his expertise in banking, energy, and restructuring.

Advised Bank Millennium S.A. on the refinancing of the construction phase of a portfolio of PV projects developed by SPVs sponsored by PAD RES B.V. (a joint venture between Griffin Capital Partners and Kajima Europe) with total capacity of 60,45 MW.
Advised PKO Bank Polski on financing the construction of 54 MWp of PV projects by PVE Group, one of the leading players in the large-scale solar energy sector in Poland.
Advised TFI PZU S.A. on financing the acquisition of a significant minority stake in eTravel S.A. (eTravel) by Enterprise Investors Fund IX, together with the European Bank for Reconstruction and Development (EBRD) as a minority co-investor.
Advised PGE Polska Grupa Energetyczna on €3 billion project financing for the construction of the 1.5 GW Baltica 2 offshore wind project developed in a joint venture with Ørsted.
Advised the club of Polish banks comprising BNP Paribas Bank Polska S.A. and mBank S.A. in relation to the PLN 321 million (EUR 69 million) financing for R.Power.
Advised mBank S.A. on the financing for the acquisition and construction of two PV installations in Sadów and Karpin, totalling 17 MWp, by Volta Polska.
Advised Polski Fundusz Rozwoju (PFR) on securing PLN 82.5 million in long-term financing to fund and refinance the construction costs of PV plants, sponsored by Projekt Solartechnik.
Advised mBank on financing for construction of a 52 MWp solar PV portfolio sponsored by PVE Group.
Advised SUSI Partners, acting on behalf of SUSI Energy Transition Fund (SETF), and its portfolio company, Luneos Green Energy, on a PLN 81 million facility made available by mBank S.A.
