Biography

Jules Charette is a senior partner at our Montréal office and has spent his entire career with us. He is highly experienced in the fields related to corporate tax at the domestic and international levels, including mergers and acquisitions, reorganizations, capital markets, project financing, structured finance, derivatives, financial instruments, infrastructure projects, cross-border transactions and executive compensation.  He has also developed an extensive knowledge in estate planning for individuals. He regularly advises a number of major Canadian public companies and family offices. He is a member of various organizations, including the Canadian Tax Foundation and the International Fiscal Association. Mr. Charette sits on the boards of a number of private companies and charitable organizations. He was called to the Quebec Bar in 1981.

Mr. Charette has acted as counsel on the taxation aspects of transactions for the following clients:

  • Coveo Solutions Inc., in connection with its initial public offering in an amount of CAN$215 million
  • Canadian National Railways, in connection with its bid to acquire Kansas City Southern in a transaction valued at US$33.7 billion
  • CDPQ Infra and Caisse de dépôt et placement du Québec, in connection with the structuring of the Réseau express métropolitain (REM) project, a public transportation project valued at CAN$6 billion
  • Bombardier Inc., in connection with various M&A transactions (including the sale of its CRJ aircraft program to Mitsubishi Heavy Industries, the sale of Bombardier Transport to Alstom the sale of its C-Series aircraft program to Airbus and an investment by Caisse de dépôt et placement du Québec of CAN$1.5 billion in Bombardier Transport) and various domestic and cross-border equity and debt offerings
  • Metro Inc., in connection with the acquisition of Groupe Jean Coutu, a transaction valued at CAN$4.5 billion
  • Rona Inc., in connection with its acquisition by Lowe's for CAN$3.2 billion
  • A consortium led by Fiera Axium, in connection with the acquisition from a subsidiary of Morgan Stanley Infrastructure of Montreal Gateway Partners, the operator of major terminals in the Montreal harbour
  • Air Canada, in connection with aircraft financings and various tax matters
  • Québecor Inc., Québecor Média Inc. and Videotron Ltd. in connection with various M&A transactions and domestic and cross-border equity and debt offerings
  • The underwriters/brokers in domestic and cross-border equity and debt offerings for various issuers, including the province of Quebec, Hydro-Québec, National Bank of Canada and the Fédération des Caisses populaires Desjardins
