Norton Rose Fulbright advises BGSF, Inc. in agreement to sell professional division

A team of lawyers from Norton Rose Fulbright’s Dallas office acted as legal counsel for BGSF, Inc. (NYSE: BGSF) on BGSF’s entry into a definitive agreement to sell its professional workforce solutions division to INSPYR Solutions (INSPYR), a portfolio company of A&M Capital Partners, for US$99 million.
The all-cash transaction includes BGSF’s professional segment, which contains its IT consulting, finance and accounting, managed solutions and offshore and nearshore software engineering practices. The transaction was announced on June 16, 2025 and is slated close during the second half of 2025, subject to BGSF shareholder approval and other customary closing conditions.
BGSF provides consulting, managed services and professional workforce solutions to a wide range of industries through its various divisions in IT, finance and accounting, managed solutions and property management. The company has been ranked as one of the top 100 largest staffing companies in the US and one of the top 50 largest IT staffing firms in the US.
Norton Rose Fulbright’s deal team was led by Paul Conneely and Brandon Byrne and included Cassidy Tennyson, Jennifer Zhang and Josh Buss, with substantial contributions from Todd Schroeder, Alex Clark, Jared Kaplan and Mike Stimson.
