Robert Barnes, who joined in 1988, is senior counsel in the Los Angeles office. He has a wide-ranging real estate transactional practice, with significant experience in:

  • structuring and documenting the real estate aspects of acquisitions and dispositions of energy production and storage facilities;
  • commercial and industrial development and affiliated financing and refinancing;
  • foreclosures, workouts and loan modifications;
  • note sale transactions
  • retail, office and industrial leasing for landlords and tenants;

  • Represented the buyer in the $72,000,000 acquisition of the architectually significant offices of Sunset Magazine in Menlo Park, California (May, 2018).
  • Represented the tenant of an 858,500-square-foot warehouse and distribution facility located in Grand Prairie, Texas (May, 2018).
  • Represented the sublessee in connection with a 150,000-square-foot sublease for retail premises located in Fremont, California (June, 2017).
  • Represented the purchaser for real estate matters in connection with its $210,000,000 acquisition of 16 landfill gas projects located throughout the United States (July 2017).
  • Served as lead real estate counsel for the equity purchaser of the Northwest Parkway, a nine-mile segment of the partial beltway system extending around the Denver metropolitan area, under a 99-year concession and lease agreement, with a transaction value of $763,000,000 (March 2017).
  •  Served as real estate counsel for the equity purchaser of 13 hydroelectric plants located in Massachusetts, Connecticut, New Hampshire and Vermont, comprising approximately 1.4 GW total capacity with an enterprise value of approximately $1,200,000,000 (June 2016)
  • Assisted the purchaser as real estate counsel in the acquisition of an interest in over 1 GW wind portfolio, valued at $308,000,000, and the roll-up financing of approximately 1.6 GW of wind assets, valued at over $700,000,000, related to a portfolio of six operating wind farms in located in five states (December 2015)
  • Served as real estate counsel for the purchaser in the acquisition of all of the outstanding equity interests in a publicly traded natural gas storage business with operations in the U.S. and Canada, whose assets are comprised of four gas storage facilities located in Alberta, California and Oklahoma.  The transaction was valued at over $900,000,000, including the assumption of debt (June 2015)
  • Represented the purchaser for real estate matters in connection with the acquisition of 100 percent of two hydroelectric plants in PA, totalling 32 MW, with 41 miles of transmission lines (May 2015)
  • Represented the Bank of America in the portfolio sale of 680 performing multi-family secured loans (transaction closed in 75 days in June 2014)
  • Represented the borrower as real estate counsel in the $518,000,000 refinancing of the Long Beach, CA Los Angeles County Superior Court building in November 2013.  The project itself was the first "social infrastructure" public-private partnership ("PPP") transaction in the United States and the first non-transportation PPP in California (the original transaction was chosen by The Bond Buyer  as its 2011 Deal of the Year; by Project Finance Magazine as the North American PPP Deal of the Year for 2010; and by the Los Angeles Business Journal  as the Best Public Project in their 2014 Commercial Real Estate Awards).  Handled all real estate aspects of the original acquisition and development, including ground lease and major sublease.
