Biography

Ryan Manns joined Norton Rose Fulbright's Dallas office in 2003. Throughout his career, Ryan has represented a variety of clients, both inside and outside of court, in different stages of business restructurings involving transactional and litigation-related engagements. 

Ryan frequently advises corporate debtors, secured creditors, official committees of unsecured creditors, and acquirers of financially-distressed companies in complex business restructuring matters. He has experience in a variety of industries in chapter 11 reorganizations, including energy, media, healthcare, real estate and construction.

Secured Lender Representation

  • Representation of agent bank in restructuring of $126 million of indebtedness
  • Representation of secured lender, in bankruptcy proceedings and bankruptcy-related litigation, of midstream energy company involving in excess of $70 million of indebtedness
  • Representation of agent bank in out-of-court restructuring of $40 million of indebtedness
  • Representation of secured lender of electric utility cooperative in bankruptcy proceedings involving in excess of $26 million of indebtedness
  • Representation of secured lender of single-asset real estate lifestyle center and entertainment complex involving $31 million of indebtedness; representation resulted in the successful lifting of the automatic stay and foreclosure on the secured lender's collateral
  • Representation of secured lender of construction and real estate affiliates involving $40 million of indebtedness; representation included the filing of multiple involuntary bankruptcy petitions and issues relating to the appointment of chapter 11 trustees, venue and related party jurisdiction and foreclosure actions
  • Representation of secured lender, in bankruptcy proceedings and bankruptcy-related litigation, of large residential and commercial telecommunication debtors involving in excess of $200 million of indebtedness
  • Representation of exit lender in connection with financing for commercial real estate debtors' emergence from chapter 11
  • Representation of various secured lenders in adversary proceeding challenging the validity of secured lenders' lien


Debtor Representation

  • Representation of chapter 9 debtor in restructuring of $54 million of indebtedness through the issuance of tax exempt bonds  
  • Representation of chapter 11 debtors whose core operations consisted of exploration for and production of oil and gas which resulted in the successful sale of substantially all of the debtors' assets for consideration in excess of $44 million. 
  • Representation of chapter 11 debtors in double prepack merger of two print media companies
  • Representation of chapter 11 debtors whose core operations consisted of manufacturing glass containers and flat glass in successful restructuring of debtors' business operations
  • Representation of chapter 11 debtors' print and online media company, successfully restructuring $9.1 billion of indebtedness
  • Representation of chapter 11 debtors whose core operations consisted of distributing and installing architectural glass and aluminum; representation included the sale of substantially all of the debtors' assets for consideration in excess of $64 million
  • Representation of chapter 11 debtor specialty restaurant chain, which ultimately resulted in the successful reorganization of the debtor's business


Buyer Representation

  • Representation of multinational oil companies in their acquisition of debtor's interests in certain Outer Continental Shelf leases and related platforms and facilities
  • Representation of non-profit hospital in its bankruptcy sale acquisition of the operating assets of a doctor-owned hospital
  • Representation of non-profit hospital in bankruptcy sale acquisition of neighboring community hospital via the issuance of tax exempt bonds for total consideration of $20 million
  • Representation of purchaser in the acquisition of assets in a bankruptcy sale acquisition of an ice cream and frozen dessert manufacturing plant for consideration in excess of $17 million 
  • Assist numerous parties in connection with due diligence matters and the submission of stalking horse and competing bids in distressed asset acquisitions.
