Biography

For more than 30 years, partner Gary Clark has represented borrowers and lenders in the negotiation and documentation of secured and unsecured loans with a special emphasis on acquisition financing for leveraged buyouts and exploration, production and midstream financing for the energy industry. He regularly represents some of the largest banks and investment funds in the world in single bank and syndicated credit facilities, subordinated debt agreements and related warrant and equity investments.

Energy Financing: Represented agent banks and arrangers in revolver, term, mezzanine and second lien credit facilities secured by oil and gas reserves and midstream assets in the United States and Canada, credit facilities for purchasers, transporters and processors of crude oil, natural gas liquids and related petroleum products and credit facilities for refinery companies

Asset Based Financing: Represented asset-based lenders in single bank and syndicated revolver and term loan credit facilities to finance the acquisition and operation of a variety of manufacturing, distribution and service businesses, which representation often included the negotiation of intercreditor agreements with the providers of second lien and subordinated debt financing

Mezzanine Financing: Represented investment and mezzanine funds in numerous senior subordinated and second lien mezzanine facilities to finance the acquisition of a variety of businesses, including manufacturers, radio broadcasting companies, and service businesses
