William Stelwagon is a senior counsel in the New York office. Mr. Stelwagon's practice focuses on complex corporate transactions, including capital markets transactions and mergers and acquisitions. He also counsels clients on a wide variety of corporate governance and general corporate issues.
Mr. Stelwagon represents issuers in connection with public and private equity and debt offerings and debt tender offers and initial purchasers in connection with private debt offerings. He also represents strategic and financial buyers and sellers in connection with mergers and acquisitions of capital stock and assets.
Mr. Stelwagon assists public company clients with the preparation of various SEC filings, including Forms 10-K, 10-Q and 8-K and proxy statements, and private equity clients with the preparation of Schedules 13D and Section 16 filings. He advises clients regarding compliance with the Sarbanes-Oxley Act and related corporate governance standards, including director independence requirements, committee charters, corporate governance guidelines and codes of ethics. He also advises clients regarding a wide variety of general corporate matters, including the formation and dissolution of companies and the preparation of corporate charters, by-laws, minutes and resolutions.
