Biography

William Stelwagon is a senior counsel in the New York office.  Mr. Stelwagon's practice focuses on complex corporate transactions, including mergers and acquisitions and joint ventures. Mr. Stelwagon represents strategic buyers and sellers, as well as private equity sponsors and their portfolio companies in structuring and executing platform investments, add-on acquisitions and exit transactions. He has experience representing sellers of family–owned businesses. He advises clients regarding corporate governance and shareholder matters.

  • Represented New York State Catholic Health Plan, Inc. (d/b/a Fidelis Care New York) in connection with the sale of its entire universe of health insurance business lines to Centene Corporation for $3.75 billion. 
  • Represented The Araz Group, Inc. (d/b/a HealthEZ), a family-owned third party health plan administration business, in connection with its sale to Abry Partners.
  • Represented Milford Hospital in Connecticut in connection with the sale of substantially all its assets to Bridgeport Hospital, an affiliate of the Yale New Haven Health System.
  • Represented a private equity platform company in connection with the acquisition of a business engaged in providing ureteroscopy and extracorporeal kidney stone lithotripsy services, laser prostate therapies and ultrasound services.
  • Represented a private, family-owned laboratory and testing business in connection with its sale to a private equity firm, and continuing rollover interest by one of the family members.
  • Represented a private home healthcare electronic visit verification and workforce management solutions business in connection with its sale to a private equity firm, and continuing rollover interest by one of  the sellers.
  • Represented a healthcare focused private equity firm in connection with the acquisition of a drug addiction rehabilitation center in Florida.
  • Represented Siebert Financial Corp. in the sale by its majority shareholder of its controlling interest to Kennedy Cabot Acquisition, LLC. 
  • Represented Dentsply Sirona Inc. in its $320 million acquisition of MIS Implants Technologies Ltd.
  • Represented MRV Communications, Inc. in its disposition to ADVA NA Holdings, Inc. pursuant to a tender offer and merger.
