Biography

Craig joined the Dallas office in 2008 and is a senior associate in the corporate, M&A, and securities practice group. He has a broad range of experience in representing public and private companies with respect to M&A transactions and with respect to securities offerings and compliance matters. Additionally, he regularly assists institutional investors in investing in private equity and hedge funds as well as private investment funds and their sponsors in their formation and operation. Craig also advises clients on a variety of securities law and disclosure issues, corporate governance matters, and other transactional matters.

  • Several publicly traded companies in corporate governance and securities matters, including debt and equity offerings;
  • A privately held fuel-rewards technology and services company in the purchase of the assets and operations of a competing market participant and its corporate governance matters;
  • A regional hospital system in the then second-largest acquisition of an independent physician practice;
  • A publicly traded oil and gas company in its corporate governance and securities matters, including an at-the-market offering of common and preferred stock; and
  • A professional sports franchise in its sale in Chapter 11 bankruptcy proceedings.
