Biography

Rebecca Winthrop has a diverse practice primarily representing creditors in financial restructuring and insolvency proceedings.

She represents financial institutions, special servicers and other secured creditors both in and out of court. Her experience ranges from handling voluntary liquidations and assignments for the benefit of creditors to negotiating and documenting debtor-in-possession and exit financing, use of cash collateral, lift stay proceedings and plan treatment in complex Chapter 11 bankruptcies.  She also represents purchasers of distressed assets and unsecured creditors in a variety of industries, including healthcare, manufacturing, real estate and entertainment.

Rebecca regularly advises hospitals and healthcare providers regarding their rights as creditors under joint venture and joint operating agreements, third party vendor and equipment agreements, and physician recruitment agreements, and both in and outside of bankruptcy.  She further assists in structuring their healthcare transactions, and addresses issues involving compliance of revenue management systems with the Fair Debt Collection Practices Act and the Bankruptcy Code.

Rebecca also has significant public finance experience representing municipalities in connection with their due diligence and securities disclosure obligations (including general obligation and special revenue bonds, and those involving statutory liens) and evaluating the rights of debtors, bondholders and other creditors under Chapter 9 of the Bankruptcy Code, and has advised indenture trustees and bondholders in multiple bankruptcies involving high-yield securities.

Rebecca is a Central District of California Lawyer Representative to the Ninth Circuit Judicial Conference and was recently named as a Top 100 Lawyer for 2023 by the Los Angeles Business Journal.  She also is a past Co-Chair of the Insolvency Law Committee of the Business Law Section of the California Lawyers Association and a past Board Member of the Los Angeles Bankruptcy Forum.  She is a member of  the Financial Lawyers Association, the California Society of Financial Analysts, Women in Public Finance and the California Society of Healthcare Attorneys.
