Biography

Andrea Brewer's practice covers all aspects of corporate and commercial law, with a special emphasis on mergers and acquisitions, capital markets and corporate governance. Andrea acts for founders and public and private companies in respect of financings, M&A transactions (including by a take-over bid and plan of arrangement) and complex corporate reorganizations. She also regularly advises directors, management and shareholders in the context of complex shareholder and board relations, negotiations and shareholder meetings across all industry sectors. Andrea is a member of our special situations team, which encompasses Canada's leading hostile M&A, shareholder activist and defense mandates and complex reorganization transactions.

Andrea is also a trusted advisor to a number of global consumer packaged good manufacturers with respect to their Canadian and global commercial distribution strategies. 

Since starting her career at Norton Rose Fulbright as a summer student, Andrea has also been seconded to Royal Bank of Canada's mergers and acquisitions group and public company and corporate services group.

Andrea is co-chair of our Canadian corporate finance and securities team and a member of the firm's national cannabis law team. She is a member of the firm's National Pro Bono Committee, is the founding Toronto co-chair of WiN (Women in Norton Rose Fulbright) and served as the chair of the Toronto office United Way campaign for many years.

Andrea has recently acted for the following clients:

  • A privately held commercial manufacturing company and its founders in respect of their succession planning of the company and ultimate sale to a private equity firm
  • BearCom, a leading provider and integrator of wireless voice, video, and data solutions, in its sale from Bertram Capital to Siris
  • Turquoise Hill Resources Ltd. in respect of its $4.3 billion going-private acquisition
  • TerrAscend Corp. in its acquisition of Gage Growth Corp. for approximately $545 million
  • The underwriters in BBTV Holding Inc.’s $172.4 million IPO in 2020 on the Toronto Stock Exchange, being the largest tech IPO by a female founder ever on the TSX 
  • MedReleaf Corp. on its initial public and secondary offering for aggregate gross proceeds of over $100 million on the TSX, being the second IPO of a licensed cannabis producer on the exchange at that time 
  • Ethiopian Potash Corporation in its reverse take-over and initial listing on the TSX Venture Exchange
  • A dual-listed (US and Canada) bio-tech company in connection with its solvent statutory liquidation and dissolution after a US Chapter 15 restructuring two founder-controlled private Canadian industrial manufacturing companies in their respective sales to leading private equity firm
  • InnVest Real Estate Investment Trust in its going private transaction valued at approximately $2.1 billion 
  • Ongoing advisory mandates for various clients related to executive compensation structuring and drafting equity compensation plans for boards and management teams
