Biography

Zara Loh is a shipping finance lawyer based in Singapore.

Zara specialises in corporate banking and shipping finance, including but not limited to, acting for financial institutions on sale and leaseback transactions, acting for financial institutions in relation to syndicated loan transactions, acting for creditors in the restructuring of insolvent companies, registration of newly built vessels with the Singapore registry and transfer of flag to the Singapore registry.

 •Advised KfW IPEX-Bank GmbH, Frankfurt am Main on a US$52,935,000 financing to finance the acquisition cost of two 3,100 TEU container vessels under construction.

•Advised Dekabank on a US$30m post-delivery financing to a subsidiary of X-Press Feeders for the acquisition of a new-build container vessel under construction.

•Advised Standard Chartered Bank (Hong Kong) Limited as agent o a $89,600,000 senior secured sustainability-linked term loan facility to Vista Shipping,, a joint venture between Hafnia and CSSC Shipping Hong Kong which was secured by two LNG dual-fuelled vessels.

•Advised Nordea Bank Abp, filial i Norge on a US$165,000,000 financing where the borrower transferred its place of incorporation to Singapore in accordance with Part 10A of the Companies Act 1967 of Singapore.

•Acted as Singapore counsel in relation to the restructuring of international shipping company, Vroon. This restructuring involved certain lenders receiving participations in a new syndicated secured facility, while other lenders had their facilities amended as well as a debt-for-equity swap.

•Acted as Singapore counsel in relation to the restructuring of a deepwater drilling contractor and assisting in the amendment of the facility agreements entered into by the client to facilitate a USD500,000,000 increase of the maximum of scheduled amortisation permitted to be converted into new tranches under the respective facility agreements.

•Acted as counsel for the lenders in relation to the partial re-financing for the acquisition of a fleet of 17 owned-vessels and advised on the re-domiciliation of the borrower's BVI incorporated entities to Singapore.

•Acted as counsel for the lenders and assisted in the reimbursement drawdowns in respect of a USD207m loan by facilitating the mortgage discharges over all the Singapore flagged vessels with the Maritime and Port Authority of Singapore under that facility.

•Acted as counsel for several Chinese leasing companies in the sale and leaseback of vessels to the lessees.

•Acted as counsel for the receivers and managers of assets mortgaged to a financial institution and assisted with the disposal of such assets following the occurrence of an event of default pursuant to the respective facility agreements under which the said assets were mortgaged.

•Acted as counsel for the target Singapore incorporated company in its listing on the SGX Mainboard.

•Acted as counsel for a financial institution and advised on the recovery of assets pledged by a borrower that was undergoing judicial management proceedings.

•Acted as Singapore counsel for a claimant in relation to arbitration proceedings commenced against a shipyard over the failure to deliver a USD181m rig within the contractually stipulated timeline held at the London Maritime Arbitration Association.

•Acted as counsel for several financial institutions and assisted in the drafting, negotiating, and reviewing of facility agreements, security documentation, ISDA agreements and legal opinions in relation to several high value transactions.
