Biography

Mary Kelly practises business law, and has considerable experience relating to company, banking and regulatory requirements as applied to private mergers and acquisitions, secured lending, corporate reorganizations and business joint ventures.

Her diverse experience in private mergers and acquisitions includes advising financial institutions on divestiture options for non-core businesses and implementing successful international auction sales on behalf of multinational clients, including those in the telecommunications industry. She also advises medium-sized Canadian businesses on acquisitions structured as asset purchases and share purchases.

Mary represents both financial institutions and borrowers in secured and unsecured lending transactions, including cross-border financings. She also helps companies to implement complex reorganizations designed to achieve tax efficiency and facilitate acquisitions and divestitures. She also negotiates joint venture, partnership and sophisticated shareholders’ agreements.

Mary currently participates in a number of our knowledge management initiatives. She is developing annotated model agreements in the areas of private mergers and acquisitions and secured lending. She is also the key Ontario partner for transaction opinion development and review.
