Biography
Nicolás Arboleda, head of mining for the Norton Rose Fulbright Bogotá office, specializes in mining, energy and natural resources and is currently completing an MBA with the University of Dundee.
He has over 10 years' experience with involvement in transactions in the Americas and the EMEA region. His experience includes working with the business development team of a UK- and Qatar-based private equity fund focused on investments across the mining and metals sector globally, as well as working for a major mining company in Colombia and practicing as an associate at other law firms in Colombia.
He has extensive experience in transactions and projects, including the assessment and valuation of investments, M&A, project finance, review and negotiation of contracts and, in general, in most of the business and legal aspects surrounding a transaction or project in the mining and metals industries. He is known to have extensive knowledge of mining and its regulation as he has been involved in several cross-border transactions in mining.
His involvement in different transactions around the world acting and in-house counsel and external advisor has made him participate and champion over US$ 3 billion in investments, financings and transactions. As legal counsel for a PE fund, Mr. Arboleda participated in over 30 transactions in jurisdictions such as Chile, Peru, Brazil, Guinea, South Africa, Eritrea, Mali, Egypt, Zimbabwe, Nigeria, DRC, Ghana, Australia, Indonesia, Tanzania, USA and Canada.

Mr. Arboleda has acted for clients as an advisor or as counsel in the following transactions:

Acting as external counsel to a private energy company with headquarters in London in the development of a 4.2Mtpa underground coal project in Colombia.

Acting as assisting local counsel for Lundin Gold Corp. in the financing of the Fruta del Norte gold project in Ecuador. Financing closed in May 2017.

Acting as local counsel for Red Kite in the financing to Continental Gold Inc., a publicly traded company on the TSX, for the development of the gold project called Buritica in Colombia and for a total amount of US$ 250 million. Financing closed in January 2017.

Advising trading house based in the United States in the acquisition of certain metallurgical coal assets in Boyaca, Colombia for a consideration of US$ 10 million. Transaction closed in November 2016.

Acting for several private Canadian companies in the sale of gold and silver mining assets held in Colombia for values close to US$ 50 million just in 2016.

Negotiating the terms of a royalty in some coal assets in Colombia on behalf of a major mining company, as local counsel to the transaction.

Legal counsel for a PE fund in the take private of a dual-listed mining company for a total consideration of Can $450 million (shares not tendered, process was forfeited).

Acting for a PE fund in the acquisition of shares of a gold mining company in Namibia, for a consideration of US $110 million plus a net smelter return.
