Biography

Keenan Woods practises corporate and commercial law, primarily focused on energy and oil and gas. He advises clients on merger and acquisition transactions, asset acquisition and divestitures, partnership arrangements, and various energy-specific agreements including conventional upstream and midstream oil and gas arrangements.

Keenan has experience advising clients on resource supply arrangements, services agreements, gas storage and processing agreements, petroleum and natural gas leases, participation agreements, farmout agreements, royalty agreements, joint operating agreements and conventional upstream and midstream facility agreements. His experience includes transactions involving both Canadian and international entities and assets. He has a strong understanding of the legal and regulatory environment for energy exploration and development in Canada.

  • For a private oil and gas corporation in its acquisition of approximately $550 million of oil and gas assets in Western Canada
  • For a public corporation in its acquisition of deep-cut gas processing and NGL extraction facilities (valued at approximately $200 million)
  • For a then-private oil and gas corporation in its approximately $150 million qualifying transaction to enter the TSX-V
  • For a private oil and gas corporation in its approximately $150 million acquisition of upstream assets in Northern Alberta
  • For a public oil and gas corporation in its approximately $150 million acquisition of a large gas plant and associated infrastructure in Central Alberta
  • For a public oil and gas corporation in its approximately $130 million acquisition of assets in Saskatchewan
  • For a public midstream company in its two-stage acquisition (approx. $110 million total) of a gas processing facility in Alberta
  • For a public midstream corporation in its acquisition of approx. $80 million of pipelines in Alberta from two private midstream corporations
