Purvi B. Maniar



Purvi Maniar is a member of Norton Rose Fulbright's healthcare transactions team and is based in the firm's St. Louis and New York offices. She provides transactional legal guidance and strategic advice to a wide range of clients in the health care and technology industries.

Her clients include various health care organizations, as well as businesses serving the health care industry and investors in the health care industry. These clients include hospitals, health systems, and academic medical centers; medical group practices, accountable care organizations and other physician organizations; behavioral health care providers; reproductive medicine businesses; laboratory services companies; life sciences companies; managed care organizations and private equity and venture funds.  She focuses on both, domestic and international healthcare transactions.

As part of her healthcare transactions practice, Ms, Maniar has developed a subspecialty in behavioral health. She has represented private equity companies in their acquisitions of substance use disorders and other behavioral health providers and their affiliations with academic medical centers, as well as tele-behavioral health providers and other clients focused on the behavioral health space.  She is Chair of the American Health Lawyers Behavioral Health Task Force.

Purvi also regularly represents clients in the areas of information technology, outsourced services and software licenses, including outsourced services providers, software developers and re-sellers, and their customers.

Purvi regularly counsels and represents her clients with respect to formation, governance, shareholder agreements, mergers, acquisitions, joint ventures and affiliations, hospital physician transactions, private equity and venture capital investments, employment agreements, professional services arrangements, vendor and customer agreements, outsourcing transactions, software licensing and support, and other complex contractual arrangements.

Purvi has represented clients in a wide variety of matters, including:

  • Sale of hospital-owned Medicaid and Medicare managed care plans in Illinois
  • Integration by health care system of a large, multi-specialty medical group in Missouri
  • Sale of a large, multi-specialty, multi-location medical group to an integrated health system in New York
  • Sale of a national  IVF laboratory services company to a publicly traded global medical device company
  • Advising multi-state tele-behaviorial health services provider regarding various applicable state and federal regulations
  • Various acquisitions, affiliations, and formations of substance use disorder and eating disorder treatment centers by private equity backed behavioral health company
  • Sale of a Medicare managed care plan by a large academic medical center in New York
  • Formation, growth, and day-to-day counseling of a large, multi-specialty, multi-location physician practice
  • Formation of hospital physician ambulatory surgery center (ASC) joint ventures
  • Development of a nationwide dental insurance product by a non-health insurance company in New Jersey
  • Complex U.S.-India outsourcing arrangements involving Fortune 100 companies as well as  health care clients
  • Numerous software and information technology licensing transactions
  • Various mergers, acquisitions, private placements, and venture capital and private equity investments
  • Numerous corporate formation, executive employment, corporate governance, and other general corporate matters
  • Representing multiple accountable care organizations with respect to structuring and negotiating strategic waivers
  • Over-seeing multi-country telemedicine and other research for a large academic medical center
  • Representing for-profit hospital operator in acquisition of for-profit hospital in Texas
  • Representing a major academic medical center in connection with transaction related to developing a branded hospital in the Middle East
  • Representation of Chinese investors in connection with transactions with a U.S. based fertility practice to establish an overseas fertility clinic
