Join us for a morning workshop that will address a number of issues that impact on the work of company secretarial and in-house legal teams.

The 2019 AGM season
and beyond
This session will first look back at developments occurring in the 2019 AGM season and then look forward at corporate governance and other developments to be aware of. 
Parent company liability
in light of the Vedanta decision
The Supreme Court recently held that a claim brought by Zambian villagers against UK-based Vedanta and a Zambian subsidiary can proceed to trial of the substantive issues in the English courts. This session will consider the implications of that decision (and two related ones) for both UK companies with international operations and generally, not only from the point of liability and litigation risk but also addressing the practical management and process issues that arise.
Cyber risk and cyber insurance This session will cover some of the key cyber risks and attack vectors that are being seen by our cyber incident response team, as well as the changing loss and liability landscape in this area. The session will also cover cyber risk mitigation strategies and the ways in which cyber risks can be insured.
Dividends, directors’ duties and other matters This session will look at a number of recent cases that in-house legal and company secretarial teams should be aware of.
Climate risk for corporates Investors, shareholders and other stakeholders are increasingly requesting better environmental disclosures from companies and new environmental reporting requirements have recently been imposed on quoted and large unquoted companies. Failing to respond to such requests brings risks for companies and their directors who are facing not only tougher sanctions, but a growing tide of climate-related litigation around the world. This session will consider these issues.
