Our Montréal and London offices are advising SNC-Lavalin Group Inc. (SNC-Lavalin) on the recommended cash offer made by SNC-Lavalin (GB), a wholly owned subsidiary of SNC-Lavalin, for the entire issued and to be issued ordinary share capital of WS Atkins plc. The acquisition values Atkins’ existing issued and to be issued ordinary share capital at approximately C$3.6 billion (£2.1 billion).

The acquisition will be funded through a combination of equity and debt, and supported by Caisse de dépôt et placement du Québec (CDPQ), SNC-Lavalin’s largest shareholder.

This transaction builds on the relationship and M&A advice provided by our global team on SNC-Lavalin’s C$2.1 billion acquisition of Kentz Corporation in 2014.

The team is being led jointly from Montréal and London by SNC-Lavalin relationship partner Stephen Kelly in Montréal and by partners Paul Whitelock and Andrew Phillips in London. The London-based M&A team also includes Raj Karia, James Dunnett, Ian Giles, Matthew Findley, Nicolas Sirtoli, Ed Gardner, Joshua Temkin, Livia Li, Rebecca Williams, Philip Jelley, and Ann Moseley, and the Montréal-based corporate finance and securities team also includes David Lemieux, Martin Thériault, Elliot Shapiro, Derek Chiasson, Hélène Bourque, Amélie Métivier, Renée Loiselle, Michelle Felsky, Melanie Josepovici, Riccardo Lento, Lady Africa Sheppard, and Noah Schein.
