Norton Rose Fulbright advises Heliot and Cube on the acquisition of Sigfox Germany and the strategic partnership between Sigfox and Cube

Germany Press release - Business October 2020

Global law firm Norton Rose Fulbright has advised Heliot and the investment fund Cube Infrastructure Fund II on the acquisition of IoT-network operator Sigfox Germany.

Following the acquisition of Sigfox Germany and its combination with Heliot Group’s operations, Heliot Europe now operates the largest "0G" network in Europe, covering Germany, Switzerland, Austria and Liechtenstein. Heliot Europe will be the exclusive operator in these countries of the global "0G" network using the technology developed by the French company Sigfox. The "0G" or LPWA (Low Power Wider Area) network is notably used by customers in the logistics, retail, industrial and agricultural sectors as an energy-, radiation- and cost-efficient supplement and in some cases alternative to the 5G mobile network standard. The acquisition of Sigfox Germany was funded by Cube Infrastructure Fund II, managed by Cube Infrastructure Managers, a Luxembourg management company specialising in European infrastructure investments with about €2.6 billion assets under management.

The Norton Rose Fulbright team was led by Munich partner Dr. Katrin Stieß (M&A/PE) and also included partners Dr. Christoph Ritzer (IT/Data Protection, Frankfurt), Dr. Tim Schaper (Antitrust, Hamburg) and Frank Henkel (M&A/PE), the counsels Markus Müller (IT/IP) and Claudia Posluschny (employment law) (both Munich) as well as the associates Alexander Mathes, Aurelius Haag (both M&A/PE), Michaela Zenkert (employment law) (all Munich), Natalia Filkina (IT/Data Protection, Frankfurt) and Sören Räthling (Antitrust, Hamburg).

Prague-based partner Jana Pattynová and senior associate Dominik Vítek of Pierstone advised on the related distribution agreements. A team led by the Frankfurt based Bird&Bird partner Dr. Hans Peter Leube advised on Cube's participation in Heliot. Tax advice on both the acquisition and the acquisition structure was provided by a team led by Munich partner Daniel Windsheimer and Johannes Stark (Manager, also Munich) of PwC. The notarisation took place at the Munich notary Dr. Hans-Joachim Vollrath.
