Utility District Real Estate Experience

  • Represented land developers in the formation of utility districts for financing vehicle for construction of utility facilities necessary for the development of residential communities throughout the Houston metro area
  • Negotiated conveyance of property to and from utility districts for the placement of utility facilities and other fixtures
  • Represented dozens of utility districts in the sale of public bonds for the purpose of financing the purchase of public facilities throughout the Houston metro area
  • Represented dozens of utility districts as general counsel, including the negotiation of contracts with other public entities and private entities, the supervision of litigation involving utility districts, and liaising with other consultants for day-to-day activities of such utility districts:
    • Contracts included development agreements, inter-governmental service agreements, use agreements and others

 

Corporate Transactions

  • Represented agricultural business as lead associate in its restructuring, including the sale of membership interests to foreign investors to facilitate the injection of nearly US$50m of capital for investment into agricultural land
  • Originating attorney in sale of specialized oil and gas service provider for more than US$10m:
    • Point of contact for client in sale of company in the midst of volatile board conditions
  • Represented seller of midstream oil and gas logistics company in sale to major U.S. oil and gas midstream company for over US$200m:
    • Lead associate assisting in closing documents, deal structure and coordination of sale.
