Biography
Carly Manning is a lawyer in our capital markets team. She maintains a practice in corporate and commercial law, with a focus on securities, corporate finance, and mergers and acquisitions.
Carly has acted for private and public companies and private equity groups on a broad range of matters, including plans of arrangement, asset and share purchase and sale transactions, debt and equity private placements, and public offerings. She also assists clients with corporate governance requirements, continuous disclosure obligations, and other general corporate matters.
Carly also has experience advising clients regarding commercial intellectual property matters, particularly in M&A transactions.

- Keyera Corp. in connection with its agreement to acquire substantially all of Plains' Canadian natural gas liquids business, plus select US assets, for total cash consideration of C$5.15 billion, subject to adjustments, and its related equity and debt financings in excess of C$5 billion
- Parkland Corporation in connection with the proposed US$9.1 billion acquisition of all outstanding shares of Parkland by Sunoco LP pursuant to a plan of arrangement
- Veren Inc. in its strategic combination with Whitecap Resources Inc. in an all-share transaction valued at approximately C$15 billion, inclusive of net debt
- RBC Capital Markets in connection with the inaugural offering by Coastal GasLink Pipeline Limited Partnership of eleven series senior notes for proceeds of C$7.15 billion, the winner of the North American Bond Offering of the Year at the 2024 IJGlobal Awards and the Infrastructure and Projects Deal of the Year at the 2025 Canadian Law Awards
- Independent committee of ATCO Ltd. in connection with acquisition of the shares of ATCO Energy Ltd. from Canadian Utilities Limited
- Deltastream Energy Corporation, a portfolio company of ARC Financial, on its sale to Tamarack Valley Energy Ltd. for C$1.425 billion
- Veren Inc. (formerly Crescent Point Energy Corp.) in connection with:
- its acquisition of Hammerhead Energy Inc. for $2.55 billion and related public offering of $500 million worth of common shares
- its acquisition of oil and gas assets from Spartan Delta Corp. for $1.7 billion
- Parkland Corporation issuances of US$800 million and US$500 million of senior notes
Syndicate of underwriters in connection with a public offering of common shares by Enerplus Corporation to fund its acquisition of a US private company
