Biography
Julian Walley is a debt capital markets lawyer based in London.
Julian advises on all types of debt capital market transactions, including Eurobonds, corporate hybrid securities, sovereign issuances and restructurings, sukuk financing, project bonds, regulatory capital issuances, GMTN, EMTN and ECP/CD programmes and liability management exercises (including tender offers, exchange offers and consent solicitations). Prior to joining Norton Rose Fulbright, Julian trained and spent many years in the London and Dubai offices of a Magic Circle law firm.

GMTN, EMTN, Eurobonds and Project Bonds
- Advised Yinson Production in connection with Yinson Boronia Production B.V.’s issuance of U.S.$1.035 billion Senior Secured Notes due 2042 to refinance the FPSO Anna Nery (New York law-governed project bond). The transaction won “Oil & Gas Financing of the Year” by LatinFinance.
- Currently advising on a quasi-sovereign debt restructuring in respect of the outstanding bonds issued by a national airline/flag carrier.
- Advised Ecobank Transnational Incorporated on its issuance of U.S.$400 million 10.125 per cent. senior bonds due 15 October 2029. The transaction won "Financial Institutions Bond Deal of the Year" by Global Banking & Markets Africa.
- Advised the Republic of Angola on its issuance of U.S.$1.2 billion 10.950 per cent. Notes due 2030, and subsequent tap issuance of U.S.$728 million 10.950 per cent. Notes due 2030, under the Republic of Angola's London-listed multi-billion dollar Global Medium Term Note Programme.
- Advised Sandvik AB on the annual update of its €5,000,000,000 Euro Medium Term Note Programme.
- Advised the Bank of Nova Scotia on its: (i) U.S.$40,000,000,000 Euro Medium Term Note Programme; and (ii) CAD$100,000,000,000 Global Registered Covered Bond Programme, unconditionally and irrevocably guaranteed as to payments of interest and principal by Scotiabank Covered Bond Guarantor Limited Partnership, and various issuances thereunder.
- Advised on the National Bank of Canada's U.S.$18,000,000,000 Euro Note Programme, and various issuances thereunder.
- Advised the Royal Bank of Canada on its: (i) Programme for the Issuance of Securities; and (ii) €75,000,000,000 Global Covered Bond Programme, unconditionally and irrevocably guaranteed as to payments by RBC Covered Bond Guarantor Limited Partnership, and various issuances thereunder.
- Advised on the Toronto-Dominion Bank's: (i) U.S.$40,000,000,000 Global Medium Term Note Programme; and (ii) CAD$100,000,000,000 Global Legislative Covered Bond Programme, unconditionally and irrevocably guaranteed as to payments by TD Covered Bond (Legislative) Guarantor Limited Partnership, and various issuances thereunder. This included advising on the Toronto-Dominion Bank's inaugural JPY 20 billion Tier 2 Subordinated Notes offering.
- Advising the Federal Government of the United Arab Emirates acting through the Ministry of Finance in connection with its issue of: (i) U.S.$1,750,000,000 4.050 per cent. Notes due 2032; and (ii) U.S.$1,250,000,000 4.951 per cent. Notes due 2052 (Formosa), in each case, under the Global Medium Term Note Programme.
- Advising the Government of the State of Kuwait represented by the Ministry of Finance in connection with the establishment of a GMTN programme and its debut issuance of Notes thereunder.
- Advising the Arrangers in respect of the Emirates Telecommunications Group Company (Etisalat Group) P.J.S.C. U.S.$10,000,000,000 Global Medium Term Note Programme annual updates.
- Advising the New Development Bank, a multilateral development bank, on the establishment of its U.S.$50,000,000,000 Euro Medium Term Note Programme.
- Advising the Asian Infrastructure Investment Bank, a multilateral development bank, on the establishment of its unlimited Global Medium Term Note Programme.
- Advising Majid Al Futtaim Holding LLC in relation to the MAF Global Securities Limited issuance of U.S.$500,000,000 Reset Subordinated Perpetual Notes irrevocably guaranteed, on a joint and several basis, by Majid al Futtaim Holding LLC and Majid al Futtaim Properties LLC. The Notes qualified for 50 per cent. equity credit from each of Fitch and Standard & Poor's and are callable at 5.5 years (with interest step-ups at 5.5 years, 10.5 years and 25.5 years if the Notes are not called). Interest payments can be optionally deferred at Majid Al Futtaim's discretion (subject to certain conditions).
- Advising the Arrangers in respect of the establishment of the BSF Finance U.S.$4,000,000,000 Medium Term Note Programme guaranteed by Banque Saudi Fransi and inaugural issuance of U.S.$700,000,000 5.50 per cent. Notes due 2027 thereunder.
- Advising Abu Dhabi Commercial Bank PJSC, First Abu Dhabi Bank PJSC and Abu Dhabi Islamic Bank PJSC, in relation to the grandfathering of their respective series of AT1 securities held by the United Arab Emirates Department of Finance.
- Advising the Managers in respect of MDGH GMTN (RSC) Ltd's issuance of U.S.$1,000,000,000 5.500 per cent. Notes due 2033, under its Global Medium Term Note Programme guaranteed by Mamoura Diversified Global Holding PJSC (Mubadala).
- Advising Emirates NBD Bank PJSC in respect of its issuance of AED 1,000,000,000 5.125 per cent. Notes due January 2026.
- Advising the Dealers and Managers on the establishment of EQUATE’s GMTN and Sukuk Programmes, and inaugural issuances thereunder.
- Advising the Lead Manager on CHARM Finance plc's standalone issuance of £100 million Secured Bonds due 2028.
Regulatory capital
- Advising the Managers in connection with the issue by Municipality Finance Plc of EUR 350,000,000 Perpetual Fixed Rate Resettable Additional Tier 1 Securities.
- Advising the Managers in connection with Pohjola Bank plc's issue of EUR 100 million 2.405 per cent. Dated Tier 2 Instruments due 2025.
- Advising Virgin Money Holdings (UK) plc on a consent solicitation exercise in respect of its outstanding: (i) £230,000,000 Fixed Rate Resettable Additional Tier 1 Securities; (ii) and £350,000,000 3.375 per cent. Fixed Rate Reset Callable Senior (MREL) Notes due 24 April 2026.
- Advising Jupiter Fund Management plc on the issuance of its GBP Fixed Rate Reset Callable Subordinated Notes (Tier 2) due 2030.
- Advising Secure Trust Bank PLC on its issuance of £25,000,000 6.750 per cent. Fixed Rate Reset Callable Subordinated (Tier 2) Notes due 2028.
- Advising the relevant parties in respect of the UBS Group Funding (Switzerland) AG issuance of USD 2,500,000,000 7.00 per cent. Tier 1 Capital Notes.
- Advising Barclays PLC in connection with its periodic issuances of Fixed Rate Resetting Perpetual Subordinated Contingent Convertible Securities (AT1).
- Advising the issuer, a UK “challenger bank”, on the issuance of Fixed Rate Reset Perpetual Subordinated Contingent Convertible Additional Tier 1 Securities.

- Advising Saudi Electricity Sukuk Programme Company on the establishment of its Trust Certificate Issuance Programme (with the Saudi Electricity Company as the obligor), and issuances thereunder.
- Advising the Manager in respect of the establishment of the Al Rajhi Banking and Investment Corporation Additional Tier 1 Capital Sukuk Programme and its inaugural issue of SAR 10,000,000,000 Additional Tier 1 Capital Sukuk thereunder.
- Advising the Arrangers on the establishment of the AUB Sukuk Limited U.S.$2,000,000,000 Trust Certificate Issuance Programme (with Ahli United Bank as obligor), and inaugural issuance thereunder.
- Advising Etihad Airways P.J.S.C. in connection with the establishment by Unity 1 Sukuk Limited of a trust certificate issuance programme for the issuance of trust certificates from time to time in an aggregate principal amount of U.S.$3,000,000,000, and issuances thereunder.
- Advising the Arrangers in respect of the annual QIB Sukuk Limited U.S.$5,000,000,000 Trust Certificate Issuance Programme updates (with Qatar Islamic Bank (Q.P.S.C.) as obligor), and its CMU issuances thereunder.
- Advising the Arrangers in respect of the annual APICORP Sukuk Limited Trust Certificate Issuance Programme updates and drawdowns thereunder.
