Biography

Hania Meshref is a banking and capital markets lawyer based in Dubai.

Hania has a proven track record representing major corporations, banks and financial institutions in high-profile transactions across the Egyptian, UAE and Saudi markets, covering conventional and Islamic banking, real estate finance, project finance and development, and debt and equity capital markets. Hania also has experience advising on Fintech and financial services regulations in Egypt.

Being multilingual and qualified in Egypt, Dubai and England and Wales, Hania is uniquely positioned to advise on cross-border transactions and to handle documentation across multiple jurisdictions.

Banking and Finance

  • Banque Misr  - Advised lenders’ legal counsel to Banque Misr and a consortium of seven banks in connection with an EGP 10.3 billion real estate financing to Palm Hills Developments, one of the biggest Cairo-based real estate developers, to finance part of the development cost of the ‘Badya’ project, one of Egypt’s largest real estate projects and smart cities. The ‘Badya’ project represents the largest real estate finance deal in the Egyptian market to date. (North Africa Deal of the Year at GBM Africa Awards 2025). I assisted with the drafting and negotiation of the facility agreement, assisted with the drafting of the due diligence report on the project and led the drafting and negotiation of the security documents as well as the CP process.
  • Egyptian Ministry of Finance - Advised as legal counsel to the Egyptian Ministry of Finance in connection with a USD 2 billion green and sustainable term loan. (Won Sovereign Syndicated Loan Deal of the Year" at the Global Banking & Markets: Middle East Awards 2025). I assisted with the review of the conventional and Islamic finance documents from an Egyptian law perspective and drafting any ancillary documents required for the approval of the financing by the Egyptian Parliament and achieving financial close.
  • Banque Misr and CIB Egypt - Advised as lenders’ legal counsel to Banque Misr and CIB Egypt on an EGP 4.14 billion real estate financing deal with SODIC, one of Egypt’s top real estate developers, to fund the development of SODIC’s Karmell project, which is expected to play a key role in driving the continued growth of the Egyptian real estate sector. I assisted with negotiation of the finance documents, drafting the security documents, leading the CP process and assisting with the drafting of a due diligence report on the project. 
  • Arab African International Bank  - Advised as lenders’ legal counsel to Arab African International Bank on a EGP 3.6 billion real estate financing deal with Landmark Developments to fund the development of their Zoya project in the North Coast of Egypt. My role consisted of drafting the facility agreement and security documents, assisting with negotiation of the finance documents, and leading the CP process.
  • Dual tranche multi-currency facility - Advised as lenders' legal counsel on the US Dollar tranche of a dual tranche multi-currency facility comprised of a US Dollar (USD 84 million) and an Egyptian Pound tranche (EGP 2,800 million) made available to Giza Systems and VAS Integrated Solutions, ultimate subsidiaries of Saudi Telecom Company. This ground-breaking Sharia-compliant syndicated facility which will further support the Giza System Group's expansion plans. My role consisted of assisting with the drafting of the English law Murabaha agreement and corporate guarantee as well as assisting the Egyptian side of the CP process. 
  • Syndication of ten banks in Dubai - Advised as English law counsel to a syndication of ten banks in Dubai in respect of a USD 120,000,000 facility agreement granted to a Nigerian bank for general lending and trade finance purposes. My role in this transaction consisted of drafting the English law facility agreement and leading the CP process to close the transaction. 
  • Standard Chartered Bank - Advising Standard Chartered Bank with respect to its market entry diligence exercise with regard to the Egyptian laws and regulations related to the potential establishment of a branch office in Egypt and its operations offering services to corporates. Phase 1 of the project included preparing an extensive market entry jurisdiction questionnaire providing an overview of the complete legal framework applicable to the bank's operations and products in Egypt which included but was not limited to general compliance, bank governance, trade finance, Islamic finance, security, cash management and tax. Phase 2 of the project reviewing and localizing the templates of all documentation used by the bank when offering its products. My role consisted of acting as focal
    point between all practice groups in the office working on this project throughout the year and preparing responses to most sections of the jurisdictions questionnaire which I finalized directly with the managing partner of the Cairo office. I also assisted with the review of all the documentation during Phase 2. 
  • National Bank of Egypt - Advised as Egyptian law and English law counsel to the National Bank of Egypt as a facility agent and a syndicate of 24 banks, in relation to extending an EGP 8 billion financing to Evergrow for Specialized Fertilizers, a leading local and regional company in the specialized fertilizers field. The EGP 8 billion long-term facility is intended to refinance the existing short-term loans for Evergrow as well as its operating expenses and it was divided into four tranches, including a USD tranche. (Won Best Local Currency Loan in Africa AND Best Restructuring in EMEA by EMEA Finance Achievement Awards 2022). I assisted on both the English law and Egyptian law sides with regard to the preparation of the relevant security packages.

    Projects

  • AMEA Power - Advising AMEA Power on (i) the development and financing of two renewable projects in Egypt with a capacity of 1000 megawatts and value of USD 1.1 billion; and (ii) the development and financing of a 500MW solar plant in Aswan and a 500MW wind farm in Gulf of Suez. (Won ECA, DFI and IFI Deal of the Year from Bonds, Loans and Sukuk 2023 and PFI Awards' Global ESG Deal of the Year 2022). My role consisted of assisting senior team members with miscellaneous matters throughout the duration of the matter, and in particular, assisted with the drafting of project documents including but not limited to the relevant security packages in relation to the financing of the project as well as the usufruct agreements and power purchase agreements. 
  • Leading multinational firm in the mining and energy sectors - Advising for a leading multinational firm in the mining and energy sectors in connection with the establishment of an industrial complex for the production of phosphoric acid in Abu Tartour. My role consisted of assisting with (i) the drafting with the project documents including the usufruct agreement for the project land, the supply agreement for phosphate ore and the offtake agreement for phosphoric acid, (ii) negotiating with the ministries of transport and industry regarding the project land and the terms of the usufruct agreement, (iii) leading the incorporation process for the project company in Egypt, and (iv) coordinating directly with the client regarding all the aforementioned. 
  • Hutchison Ports Europe Ltd.  - Acting for Hutchison Ports Europe Ltd. in connection with two container terminal port concessions located in El-Dekheila Port (Mediterranean Sea) and Sokhna Port (Red Sea), both in Egypt. My role consisted of leading the CP process which included assisting with the incorporation of each project company and coordinating with the Ministry of Transport and the relevant port authorities for the provision of the relevant governmental approvals. 
  • Saudi Arabian government  - Advising for the Saudi Arabian government in connection with four conventional IPP projects to produce a total of 7.2 GW of energy, integrating carbon capture technologies, in Saudi Arabia awarded to two consortia. I assisted throughout the CP process with the review and drafting of legal opinions, resolutions, corporate documents and certain project documents from a variety of jurisdictions including but not limited to, English law, Saudi law and Chinese law documentation. 
  • Banque du Caire S.A.E.  - Advised as legal counsel to Banque du Caire S.A.E. as agent on behalf of the lenders to grant a USD 75,000,000 syndicated medium term loan facility to Cheiron Egypt Delta Limited to finance up to 45.45% of the investment cost of the development works for the West Burullus area subject of the concession agreement for gas and crude oil exploration and exploitation in Egypt. The group of syndicate banks includes Banque du Caire, Al Baraka Bank Egypt, Arab International Bank and Societe Arabe Internationale de Banque (SAIB).This is a milestone transaction, first
    of its kind in the Egyptian market. My role consisted of drafting the due diligence report on the company, the full security package including Egyptian law and English law corporate and personal guarantees and leading the CP process.
  • Major Chinese construction company - Advising a major Chinese construction company in connection with the establishment of a joint venture company with the New Urban Communities Authority to carry out the comprehensive operation and management of the integrated operation, management and maintenance of a central business district in the New Administrative Capital. I assisted the managing partner and the partner heading the Projects practice group with the drafting of the shareholder agreement and the O&M agreement and assisted during negotiations of the same. 
  • Multi-brand European company - Advising a multi-brand European company which develops and manages luxury hospitality assets on its first venture in Egypt's luxury tourism sector by creating a luxury sleeper train service under the brand "Orient Express". In the initial phase, my responsibility consisted of preparing a comprehensive legal memorandum that outlines the entire legal framework pertinent to the project. This included providing strategic recommendations for the negotiation and formulation of key project documents. I also acted as focal point between the practice groups assisting on this matter. 
  • Major financial institution - Advised a major financial institution in connection with a USD 200 million multi-currency facility agreement to develop several projects for Arab Contractors in Africa. The facility represented a giant leap in the strategic partnership between the financial institution and Arab Contractors towards helping develop African economies. My role consisted of reviewing the finance documents from an Egyptian law perspective and leading the CP process.
