Biography
Bernard Boisclair is an associate in our business law group whose practice encompasses all aspects of corporate and commercial law. He has a particular focus on mergers and acquisitions, as well as matters affecting financial institutions. Bernard regularly advises a diverse range of clients, including insurers, banks, trust companies, and both regulated and unregulated financial service providers and intermediaries such as MGAs.
He provides ongoing counsel to financial institutions and intermediaries on a variety of transactional and regulatory matters. His experience includes advising on mergers and acquisitions, anti-money laundering compliance, licensing and distribution requirements, regulatory investigations, referral arrangements, and other corporate matters.

Mergers & Acquisitions
- Synex Business performance, one of Canada's leading insurance brokerage groups, in connection with minority investments by Caisse de dépôt et placement du Québec and Ares Management Credit Funds
- Beneva, Canada's largest mutual insurer, as part of its announced merger with Gore Mutual, one of the country's oldest property and casualty mutual insurers.
- American International Group, Inc., as Canadian lead counsel in the context of the sale of its individual personal travel insurance and assistance business, including Travel Guard Canada Group, Inc. to Zurich Insurance Group for $600 million in cash plus additional earn-out consideration
- Namakor Holdings, a private equity fund specializing in the industrial manufacturing sector, in connection with its acquisition of Crawler Mulching Industries Danri Inc., a business specializing in manufacturing specialized forestry and agriculture sector tractors and grinders
- Thrust Capital Partners Fund I L.P., a private equity fund dedicated to the aerospace industry supply chain, in connection with its acquisition of DCM Group Inc., a business specializing in manufacturing parts for the aerospace industry
- Les Serres Royales inc., a greenhouse tomato producer, in connection with its sale to Cultures Gen V inc., a leading vegetable producer
- Thrust Capital Partners Fund I L.P., a private equity fund dedicated to the aerospace industry supply chain, in connection with its acquisition of Dishon Limited, a business specializing in manufacturing parts for the aerospace industry

- The underwriting syndicate in a public offering of common shares of Savaria Corporation for total gross proceeds of approximately C$63 million
- The agency syndicate in Dollarama Inc.’s private placement of C$500 million aggregate principal amount of 5.533% senior unsecured notes due September 26, 2028
- CAE Inc. in a private placement of C$400M aggregate principal amount of 5.541% senior unsecured notes due June 12, 2028
