Cezary Zawiślak

Cezary Zawiślak is a projects and restructuring lawyer based in Warsaw.

Cezary is an advocate (adwokat) as well as a restructuring adviser (doradca restrukturyzacyjny) and is qualified to act as a trustee in bankruptcy proceedings, and a supervisor or administrator in restructuring proceedings.

Cezary advises clients mainly from the energy sector, in particular on issues related to renewables, gas and oil, as well as liquid fuels. He focuses his practice on construction, real estate, environmental and regulatory matters. He also has substantial litigation experience with a focus on construction and environmental disputes in the renewable energy and infrastructure sectors. Cezary has represented clients before common courts as well as domestic and international arbitral tribunals.

Advised a consortium of Polish financial institutions, comprising mBank and Bank Ochrony Środowiska, on a long-term refinancing facility of PLN 227 million (EUR 53.5 million) granted to special purpose vehicles controlled by Atsinaujinančios Energetikos Investicijos, a closed-end investment fund managed by Lords LB Asset Management.
Advised mBank on refinancing of Sunly’s existing indebtedness towards Eiffel Investment Group relating to grid deposits for 3.5 GW of planned photovoltaic (PV) and battery storage projects developed by its subsidiaries and financing of payment for further grid deposits for PV and battery storage projects in Poland.
Advised PKO Bank Polski and Bank Gospodarstwa Krajowego (BGK) on the financing acquisition and financing construction of biogas plants owned by Neo Biofuel Energy, a subsidiary of Neo Bio Energy.
Advised mBank and Bank Millennium on the PLN 400 million (EUR 94.12 million) refinancing of an operating 175 MWp PV portfolio located in Poland and sponsored by ib vogt GmbH.
Advised PKO Bank Polski on financing the construction of 54 MWp of PV projects by PVE Group, one of the leading players in the large-scale solar energy sector in Poland.
Advised PGE Polska Grupa Energetyczna on €3 billion project financing for the construction of the 1.5 GW Baltica 2 offshore wind project developed in a joint venture with Ørsted.
