From 7th February 2023, the Amendment to the Thai Civil and Commercial Code (Amendment) is effective. The following is a summary of the key amendments:

  1. Minimum number of promoters: The requirement for the number of promoters for incorporating a company has been decreased from three (3) to only two (2).
  2. Shareholder's Meeting Notice: Publication of a notice for convening a shareholder's meeting is no longer required, except in the case of a bearer share certificate. 
  3. Dividend Payment: A company must pay its dividend within one month of the date that the shareholder's meeting has resolved such payment.
  4. New concept of Merger: A new concept of a merger, where one company continues to exist while the other company ceases, has been introduced in addition to the existing concept of amalgamation, where the two merging entities will cease and a new entity will exist.
