Biography

Ksenia is a banking and finance lawyer based in London and has been advising on a diverse range of financings for over 25 years.

She has represented both borrowers and lenders on a wide spectrum of deals, including corporate, acquisition and property finance matters.

Ksenia joined the London practice in 2001, qualified as a solicitor in 2001 and became a consultant in 2010.  Prior to joining the firm Ksenia worked for seven years at the London office of a shipping finance law firm as a Russian lawyer. She has spent a year seconded to a London-based financial institution.

  • Advised a major UK restaurant group on their revolving facilities agreement.
  • Advised a UK challenger bank on their sterling collateral arrangements with the Bank of England.
  • Advised Mortgage Advice Bureau (Holdings) plc, on the financing of its acquisition of a controlling stake in the Fluent Money Group.
  • Advised BNPP Paribas and DekaBank Deutsche Girozentrale in relation to the provision of a loan secured on The Point Paddington Basin, a Tishman Speyer managed multi-let office building in Paddington, central London.
  • Advised an international financial technology company involved in consumer loans in Scandinavia on a receivables purchase finance transaction involving negotiating the terms of the purchase agreement with a insolvency-remote entity set up by the financing entity, the associated servicing agreement and other ancillary documents.
  • Advised Mezzanine Management and EBRD on their debt and equity financing of the acquisition of Spearhead International, the European agri-business, by US private equity fund, Paine & Partners.
  • Advised Technip FMC plc on the restructuring of its debt facilities with its shipping finance banks and export credit agencies.
  • Advising Alpha Bank A.E., Eurobank Ergasias S.A., National Bank of Greece S.A. and BNP Paribas S.A.  on several stages of the restructuring of debt of M.J. Maillis S.A. a Greek manufacturing company documented as bond loans, including the "reflagging" of its parent company.
  • Loan agreement precedent automation and advising on LIBOR transition documentation – acting for affiliates of a major Canadian bank in automating their precedent loan agreement and developing standard amendments in relation to the withdrawal of LIBOR. This involved amalgamating and improving a number of precedents containing standard terms and commitment letters and liaising with stakeholders in the bank in terms of requirements, practices and contract terms.
