Global law firm Norton Rose Fulbright has advised Lantmännen Energi AB on the acquisition of 100 percent of shares in Ekobenz from Agencja Rozwoju Przemysłu S.A. and minority shareholders.
Lantmännen Energi AB is part of Lantmännen Group, a leading Northern European agricultural cooperative owned by 17,000 Swedish farmers and active across agriculture, machinery, bioenergy and food. The Group has operations in more than 20 countries and an annual turnover of approximately SEK 70 billion (€6.4 billion).
Established in 2006 in Lublin, Poland, Ekobenz is a leading innovator in Ethanol-to-Gasoline (EtG) technology, producing advanced, low-carbon biofuels at its commercial facility in Bogumiłów. The company employs 61 people, achieved €13 million in sales in 2024, and supplies sustainable speciality fuels, particularly to the motorsport industry.
The Norton Rose Fulbright team advised Lantmännen Energi AB throughout the acquisition process, which involved multiple sellers, a cross-border component and the coordination of several legal, financial and regulatory workstreams. The transaction was led by Warsaw-based partner Agnieszka Braciszewska, head of the Warsaw corporate and M&A practice, together with counsel Artur Jończyk. They were supported by counsels Małgorzata Patocka, Joanna Braciszewska-Szarapa and Wojciech Janik, senior associates Aneta Janecka and Maciej Dubiel, and associates Jan Nowjalis and Damian Pawlak.
With the acquisition of Ekobenz, Lantmännen significantly enhances its sustainable fuels portfolio by integrating proven EtG technology with its biofuel expertise. The transaction strengthens the Group’s value chain from raw material to finished product, leveraging certified, operational facilities and world-class ethanol production capabilities to deliver scalable, low-carbon solutions, including bio-gasoline, bio-LPG and bio-aromatics, supporting both immediate deployment and long-term sustainability goals.
Agnieszka Braciszewska commented:
“This transaction reflects the growing strategic focus on scalable, low-carbon fuel solutions and required seamless execution across several disciplines and jurisdictions. Supporting Lantmännen in integrating Ekobenz’s technology into its energy platform underscores our ability to guide clients through complex, multi-party deals that advance both commercial ambition and the energy transition. We are proud to have advised on a project that strengthens the sustainable fuels value chain and delivering tangible sector-wide impact.”
