Norton Rose Fulbright advises Kholo Capital on R200 million strategic investment into Bayport securitisation

Norton Rose Fulbright South Africa has advised Kholo Capital Fund Managers (Pty) Ltd, acting on behalf of Kholo Capital Mezzanine Fund I Partnership, on its R200 million investment into Bayport Securitisation (RF) Ltd.

The investment was executed through a subscription for unlisted notes, providing growth capital to support Bayport’s expansion of its financial wellness offering.

Norton Rose Fulbright South Africa’s role encompassed all aspects of the transaction, including legal due diligence, drafting, negotiating, and agreeing the terms of the Note Subscription Agreement and security document. The transaction also required close consideration of Bayport’s existing contracts and its pre-established Note Programme.
