Biography

Pete Wiazowski has been practising in the area of corporate finance for over two decades, focusing on cross-border debt capital markets and banking in a wide variety of industries and contexts. With extensive experience in leveraged finance, he represents lenders and borrowers, and issuers and underwriters, in secured loans, debt offerings, debt tender offers and strategic refinancings, as well as debt finance solutions for M&A, project finance and infrastructure. He also advises public companies on continuous disclosure obligations and risk management and controls.

Pete is currently our national practice coordinator – banking and debt finance. Prior to joining our Montréal office, he practised in these areas in New York and Paris as an associate at Sullivan & Cromwell LLP.

  • Regularly advises on Canadian and cross-border finance transactions for entities such as Bausch Health, Bombardier, CAE Inc., Alamos Gold, NorthRiver, Costal GasLink, Wajax, Sollio, Énergir, Videotron, Quebecor, Porter Airlines, Parkland, Gibson Energy, TC Energy/TransCanada Pipelines, Vermilion Energy and Athabasca
  • The lenders and underwriters in the bank/bond financing of the $2 billion Ile-aux-Tourtes Bridge P3 project in Montreal, Canada
  • Senior credit facilities, including renewals and amendments. for borrowers such as Alamos Gold, Montage Gold, Wajax, Bombardier, Bausch Health, CAE and Videotron, and lenders such as HPS, Carlyle and Macquarie
  • Cornerstone investors, including Caisse de dépôt et placement du Québec, CPPIB and OMERS, in subscription receipts financings, such as Bank of Montreal in connection with the acquisition of Bank of the West, and Intact Insurance in connection with Intact's acquisition of RSA Insurance
  • CAE Inc. on various senior debt financings, including the financings for CAE's recent acquisitions of the military business of L3 Harris, Bombardier's Business Aircraft Training business, and Sabre's AirCentre operations
  • Caisse de dépôt et placement du Québec in connection with numerous acquisitions and investments, including its investments in Plenary Group, certain wind energy assets, Magris Performance Materials and QSL, and the financing thereof
  • Vancouver Parq Casino & Resort for  the financing of its design, construction and development, comprised of a complex 1L/2L loan structure
  • MET Montreal Metropolitan Airport Terminal for the financing of its design, construction & development
  • Bombardier Inc. in connection with its sale of Bombardier Transportation to Alstom
  • Income Access / Ecom Access Group in the sale of its affiliate marketing technology and clearing platform to Paysafe Group plc
  • ING Group NV/ING Direct Canada on the sale of ING Direct Canada (now Tangerine) to the Bank of Nova Scotia
