Norton Rose Fulbright adviseert AmTrust bij aankoop 100% van de aandelen in Nationale Borg

HAL en Egeria, elk voor 46.7%, tezamen met management hebben een overeenkomst getekend voor de verkoop van 100% van de aandelen in N.V. Nationale Borg Maatschappij aan AmTrust Financial Sevices, Inc. (Nasdaq: AFSI). Nationale Borg is een gespecialiseerde verzekeraar op het gebied van borgtochten en kredietverzekeringen.

Over 2014 realiseerde de onderneming een bruto premie van € 91 miljoen. De transactie zal na afronding resulteren in een boekwinst voor HAL van ongeveer € 25 miljoen.

De afronding is onderhevig aan de goedkeuring door de toezichthoudende instanties alsmede overige gebruikelijke voorwaarden voor transacties van deze aard, waaronder afronding van de procedures uit hoofde van de Wet op de Ondernemingsraden. Het is de verwachting dat de transactie tegen het einde van het jaar zal worden afgerond.
