Biography
Sam Zadeh is a business-focused advisor who has extensive experience guiding clients efficiently and effectively on a range of domestic and multi-jurisdictional mergers and acquisitions, strategic transactions, reorganizations and corporate finance transactions.
Through his diverse practice, Sam has provided corporate, M&A (both public and private) and securities law advice to clients of all sizes, ranging from high-growth and medium-sized enterprises to large multinational organizations, each operating in a variety of industries, including financial services, technology, life sciences, media, resources and consumer products.
Sam’s clients include domestic and international acquirors, private equity sponsors, family offices, investment banks, targets, special committees and boards of directors who he advises on all aspects of M&A transactions, including statutory plans of arrangement, business combinations, reverse takeovers, going-private transactions, private equity transactions and negotiated acquisitions. He is responsible for the structuring and execution of a range of corporate finance transactions, representing issuers, underwriters and investors in domestic and multi-jurisdictional public offerings (both debt and equity), private placements, venture capital financings and alternative forms of financing. Sam also advises clients on ongoing commercial, corporate governance and regulatory compliance matters.

- Carlsberg Group, in its cross-border acquisition of Waterloo Brewing Ltd. by way of a plan of arrangement
- Macro Enterprises Inc., in connection with its going-private transaction led by senior management by way of a plan of arrangement
- Genius Brands International, Inc., in its cross-border acquisition of Wow Unlimited Media Inc. by way of a plan of arrangement, including receipt of a significant regulatory approval from the Department of Canadian Heritage under the Investment Canada Act
- Flexiti Financial Inc., in its cross-border sale (including conditional earn-outs) to CURO Group Holdings Corp. through two simultaneous plans of arrangement and in its concurrent closing of a new credit facility

- Bank of Nova Scotia, in its offerings of: (i)¥33 billion fixed-rate resettable NVCC subordinated notes (marking the first subordinated debt offering by a Canadian bank in Japanese currency under Canada's regime for bank capital); and (ii) ¥12 billion fixed-rate resettable NVCC subordinated notes
