Norton Rose advises the US-based Hudson Technologies on a joint venture with Italian partners to establish Hudson Technologies Europe

International legal practice Norton Rose Studio Legale has advised the US-based Hudson Technologies Inc. (“Hudson”) in relation to a joint venture between Hudson, the Italian company, Safety Hi-Tech ("SHT") and the owners of the Italian engineering firm, Banini-Binotti Associates (“BB”), on the establishment of a new Italian-based company called Hudson Technologies Europe S.r.l. to support Hudson's strategic expansion into Europe, the Middle East and North Africa.

SHT and Hudson will each own 40% of the new company and BB will own 20%. Using equipment and technology supplied and licensed by Hudson, the new company will market Hudson’s full suite of products and services, with an emphasis on Hudson’s energy optimization services. Hudson Technologies Europe will also provide reclamation support to SHT for the recycling and resale into the refrigeration market of refrigerants which are not only used in A/C systems but also used in most other fire suppression systems, including SHT’s. Due to the strict regulatory environment in Europe there is strong demand for the energy optimization and emissions reducing services which Hudson provides.

The Norton Rose Studio Legale team was led by Luigi Franco, Rome-based Of Counsel specialising in energy and M&A, who was assisted by Senior Associate Francesca Staffieri, also based in Rome, for tax issues.

Norton Rose Studio Legale ha assistito la statunitense Hudson Technologies Inc. ("Hudson") in relazione a una joint venture tra Hudson, la società italiana Safety Hi-Tech ("SHT") e i proprietari italiani della società  di ingegneria  Banini-Binotti Associates ("BB"), per la creazione della nuova società Hudson Technologies Europe Srl, con sede in italia, per consolidare l'espansione strategica di Hudson in Europa, Medio Oriente e Nord Africa.

SHT e Hudson possiederanno ciascuna il 40% della nuova società e la quota di BB sarà il 20%. Utilizzando attrezzature e tecnologie concesse da Hudson, la nuova società immetterà sul mercato la gamma completa di prodotti e servizi di Hudson con particolare attenzione ai servizi energetici.

Hudson Technologies Europe fornirà anche supporto alla bonifica SHT per il riciclaggio e la rivendita sul mercato della refrigerazione dei fluidi refrigeranti utilizzati non sono solo nei sistemi A / C, ma anche in sistemi antincendio.
