Jenny Yoo’s practice focuses on all aspects of corporate and commercial law with an emphasis on securities, regulatory and corporate law compliance, and mergers and acquisitions. She has acted for public and private companies in securities offerings, private placement financing, and purchase and sale transactions. In addition, she has also advised public issuers on corporate governance matters and continuous disclosure obligations.

She joined our Toronto office as a summer student in 2012 and returned as an articling student in 2013 and 2014. During her articles, Jenny completed a secondment in the legal department of GlaxoSmithKline Inc., where she gained valuable experience working on commercial and regulatory matters.

While in law school, she clerked at the Health Professions Appeal and Review Board and mentored with the University of Toronto Faculty of Law Mentorship Program. Jenny also co-chaired an International Human Rights Program Working Group and was awarded a research fellowship to pursue a study examining the intersection of international investment law and human rights law in the context of investment tribunals.

    Jenny has acted for the following clients:

    • Pacific Exploration & Production Corporation’s plan of arrangement and compromise pursuant to the Companies’ Creditors Arrangement Act (Canada) in connection with a comprehensive restructuring transaction resulting in reduction of debt (US$5.3 billion to US$250 million), recapitalization with approximately US$500 million, and listing of common shares on the TSX
    • InnVest Real Estate Investment Trust in its acquisition by Bluesky Hotels and Resorts Inc. by way of a plan of arrangement under the Business Corporations Act (Alberta) for approximately C$2.1 billion
    • Clearstream Energy Services Inc. (formerly Tuckamore Capital Management Inc.) in the sale of assets of Quantum Murray and Titan Supply, as well as the company’s equity interest in Gusgo Transportation and related subsidiaries for total consideration of approximately C$30 million in aggregate
    • Icahn Enterprises LLP in connection with its US$340-million acquisition of the US automotive aftermarket product distribution business of TSX-listed Uni Select Inc.
    • InnVest Real Estate Investment Trust in connection with its C$110 million underwritten prospectus offering and concurrent private placement and its C$48.3 million underwritten offering under its C$500 million base shelf prospectus
