Matt Spohn counsels clients in the technology, energy, financial, and life sciences industries to successfully negotiate their sourcing and technology transactions, and resolve their disputes. 

His experience in disputes and litigation includes data breach class actions, trade secrets, unfair competition, patents, trademarks, software development and hardware design agreements, and software license disputes.  He also has a background in royalty and contracts disputes in the power and oil & gas industries, product liability and securities fraud defense, mortgage-backed securities litigation, and government investigation defense.  

Matt also has broad experience in negotiating many forms of technology-related agreements, such as those involving IT outsourcing and insourcing, joint technology development, software-as-a-service and cloud services, remote IT hosting, managed security services, IT consulting, and software licensing and maintenance, among many others.  He works for large, institutional clients and also for emerging companies, giving him insight into both sides of the negotiating table.  Matt is a Certified Information Privacy Professional through the International Association of Privacy Professionals, with expertise in protecting data and responding to data breaches.

Matt has represented clients in state and federal courts across the country, bringing several cases to trial.  He is licensed to practice law in Minnesota, Colorado, California and New York. He is also licensed to practice before the United States District Courts for the District of Colorado, District of Minnesota, Northern, Central, Eastern and Southern Districts of California, Eastern and Western Districts of Wisconsin, Eastern and Western Districts of Arkansas, Southern and Western Districts of Texas, the Northern and Western Districts of New York, and the U.S. Court of Appeals for the Third, Eighth, Tenth, and Federal Circuits.

    1997 - B.A., magna cum laude, History, Carleton College

    During law school, Matt was a Notes & Comments Editor for the Iowa Law Review. He won the Judge John F. Dillon prize for legal writing and the Hunt prize for legal history. Matt graduated in the top 10% of his law school class and was a member of the Order of the Coif. At Carleton College, Matthew won the Ian Kraabel Memorial prize for history and spent a term studying at Oxford University.

    • Representing a software company in negotiating integrated software, services, and software maintenance and support agreements with a major client
    • Representing patent holders and alleged patent infringers in fields such as RFID technology, nanotechnology, computer software and mechanical devices
    • Representing a medical device manufacturer in a trade secret, unfair competition, and non-compete matter involving state and federal courts in six jurisdictions
