Global law firm Norton Rose Fulbright has advised AngloGold Ashanti (AGA) on its disposal of two gold projects, for a consideration of US$175 million, located in Côte d’Ivoire (CDI), to Resolute.
The disposal of the two AGA projects is via the sale of the entire issued share capital of Centamin West Africa Holdings Limited, which owns the Doropo project as well as the Archean-Birimian Contact project in CDI.
As part of the transaction, it has been agreed that AGA will acquire from Resolute the entire issued share capital in Toro Gold Guinée Sarlu (TGG), which owns the titles to the Mansala Project in Guinea to AGA.
The TGG acquisition is subject to certain conditions being met in an 18-month period.
The London-based team from Norton Rose Fulbright advised AGA throughout the transaction. The team was led by corporate partner Emma de Ronde. She was supported by Global Head of Tax Dominic Stuttaford; Head of Intellectual Property, Europe, Middle East and Asia Mike Knapper; and Head of Information Governance, Privacy and Cybersecurity, Europe, Middle East and Asia Marcus Evans.
Emma commented:
